Elizabeth Hughes heads the corporate finance group at Venable. Her practice includes representation of public and private companies on matters of corporate and SEC law, including advising clients on accessing the public capital markets and on mergers and acquisitions. Her practice also includes advising on corporate governance issues and on-going public company SEC reporting and listing matters as well as on investment management and advisory law.

Corporate Finance Matters:
Ms. Hughes has represented a public information security company in its $90 million IPO and $250 million 144A bond transaction; a public mortgage REIT in its $100 million common stock public offering, three preferred stock public offerings and $100 million public bond offering; a bank holding company in its $200 million 144A bond transaction and underwriters in IPO and follow-on offerings.
Mergers and Acquisitions:
Ms. Hughes also represents public and private buyers and sellers in domestic and offshore stock and/or cash transactions. These transactions range from a cross-border private sale for over $1 billion to a $450 million domestic public stock-for-stock transaction as well as numerous other private and public mergers and acquisitions.
Activities
Ms. Hughes was Chairman of the Corporate Law Committee for the Maryland Bar Association in 2000 and also served as chair of the Subcommittee on Securities Regulation for the Maryland Bar Association from 1993-1996.
Ms. Hughes is also a frequent speaker on such topics as initial public offerings and mergers and acquisitions.
