Beth Brunins counsels clients with respect to a broad range of corporate and business matters, including drafting and reviewing a full array of corporate agreements. She represents clients on vendor contracts, licensing issues, leases, third party agreements, and general corporate service contracts. She devotes a substantial portion of her practice to the hospitality industry, including advising clients on management contracts and franchise considerations. In addition, Beth's practice includes working with her corporate clients on advertising and promotional matters in furtherance of their marketing initiatives, such as comparative advertising, advertising substantiation, sweepstakes, contests, and environmental marketing initiatives.
Representative Matters
· Represented a global investment bank in its acquisition of a $2.2 billion hotel portfolio from a publicly-traded company;
· Represents hotel owners, operators, lenders, and franchisees in transactions ranging from hotel acquisitions to lease disputes, and also provides advice on day-to-day matters;
· Handles management agreements and leases, as well as ancillary contracts to structure or restructure such agreements or related parties;
· Represents a Fortune 500 company in its ongoing promotional campaigns and advertising claims;
· Assists clients with business promotions, including sweepstakes and contests, and drafting rules and reviewing marketing materials for such promotions;
· Reviews clients' advertising initiatives in print, online, radio, and television;
· Helps clients with their advertising campaigns and with structuring claims that advance clients' business goals within the realm of truthful and substantiated advertising;
· Counsels clients on competitors' advertisements that may be unfair or deceptive;
· Educates clients' marketing and research teams on environmental marketing initiatives;
· Advises clients on FTC regulations.
