Biography

Enid Veron focuses her practice in project finance, particularly in the energy sector with a focus on alternative energy. Since 1981, she has been advising clients in connection with the development and financing of a wide range of energy and other infrastructure projects, both domestic and international.

ˇ Represented LS Power in connection with the development and financing of a 600 MW gas-fired plant in Virginia.

ˇ Represented solar developers, including Starwood Energy Group Global, Nautilus Solar and SL Solar, in connection with the development and financing of solar thermal and distributed generation facilities.

ˇ Represented wind developers, including EverPower Wind Holdings and Wind Capital Group, in connection with the development and financing of various wind farms in the U.S.

ˇ Represented SCC Americas in connection with the development of various landfill gas projects in the U.S.

ˇ Represented SMBC and HypoVereinsbank in connection with the acquisition of midstream gas assets in the U.S. from Macquarie.

ˇ Represented U.S. Energy Systems in connection with the acquisition and financing of various upstream natural gas assets in the United Kingdom and a portfolio of landfill gas assets in the U.S.

ˇ Served as counsel to the Official Creditors Committee in the NRG Energy Chapter 11 proceeding.

ˇ Represented lenders in connection with several other high-profile restructurings in the energy sector, including those involving Mirant, NEG, AES, Cogentrix and Covanta.

ˇ Advised various private equity funds in connection with investments in distressed assets.

ˇ Represented Dexia Credit Local in connection with the 144A financing of the Cogentrix-GECC Green Country power project and the Santiago-Valparaiso toll road project in Chile.

ˇ Represented Standard Bank London in connection with several mining projects, including a gold mining project in Nevada.

ˇ Represented lenders with regard to credit facilities for Tenaska's Alabama II, Kiowa and Fluvanna Projects, Reliant's $2.5 billion revolving lease facility, and Mirant's $1.8 billion warehouse operating lease facility.

ˇ Represented HypoVereinsbank in connection with the Colorado Green wind project financing.

ˇ Served as lead counsel for Merrill Lynch and Barclay's Capital in the groundbreaking financing for Sutton Bridge, Enron's 790 MW merchant plant in the UK (selected as Europe's "Power Deal of the Year" by Project Finance International).

ˇ Represented the lending syndicates (including Fortis Capital, HypoVereinsbank, Helaba, CoBank and Scotia Capital) in the miniperm financings for the Tiverton and Rumford merchant power plants.

ˇ Acted as lead counsel for Credit Suisse with respect to a Peruvian mining project involving subsidiaries of Cominco and Mitsubishi.

ˇ Counseled clients, including Harvard University and Norweb plc, with regard to the auction sales of their generating asset portfolios.

ˇ Represented several major independent power companies and unregulated utility subsidiaries in project financings in the U.S. and abroad, including Calpine and AES, as well as affiliates of Alliant, Conectiv, PECO and NRG.

ˇ Served as transaction counsel for TIAA-CREF and Prudential Power Funding in numerous financings and frequently represented banks, such as Union Bank of Switzerland, Royal Bank of Scotland, National Westminster Bank, Banque Nationale de Paris and Mizuho.

ˇ Advised on financings for other power and infrastructure projects in countries around the globe, including Australia, Brazil, China, India, Mexico, Panama, Russia and Turkey.
