Enrique J. Martin's practice focuses on domestic and cross-border acquisitions and joint ventures, domestic and foreign issuer securities offerings, and private equity and venture capital transactions.
Enrique regularly counsels clients in connection with their general corporate and securities matters, including mergers and acquisitions, employment and shareholder agreements and financing activities. He is frequently engaged in connection with various forms of international business transactions.
Enrique also serves as general counsel to a number of companies in connection with their corporate governance, fiduciary duties, regulatory compliance, strategic alliance and financing matters.

Significant Representations
· Represented the Delcop Group in connection with its acquisition of the Colombian operations of Xerox Corporation.
· Represented Rowland Coffee Roasters, Inc., a privately-held company based in Miami and best known for the leading Hispanic brands Café Bustelo® and Café Pilon®, in the $360 million sale of its coffee brands and business operations to The J.M. Smucker Company.
· Represented Mentez, LLC, the leading publisher of social network games on Brazil's Orkut and Facebook platforms, in connection with a private equity financing.
· Represented BearingPoint, Inc. and the BearingPoint Liquidating Trust as lead counsel in connection with the wind-down of BearingPoint's Latin American operations.
· Represented Arcos Dorados B.V. in connection with its $700 million acquisition of the business and assets of McDonald's Corporation's Latin American operations (including approximately 1,600 existing McDonald's restaurants located throughout 18 countries in Latin America and the Caribbean).
· Represented Industrias Duraflex S.A. de C.V. in connection with the sale of its textile manufacturing plant located in El Salvador to Hanesbrands, Inc., a U.S. publicly traded corporation.
· Represented MGM International LLC, a leading firm specializing in the development and commercialization of carbon emissions credits, in connection with its issuance of a 38% equity interest to Morgan Stanley Capital Group, Inc.
· Represented an independent committee of a Board of Directors of a publicly-traded company based in the Dominican Republic in connection with a special investigation.
· Represented one of the largest cruise ship operators in connection with its joint venture to develop and construct a major port in Central America.
· Represented one of the leading plastic food container manufacturers in connection with its acquisition of a significant manufacturing operation in Mexico.
· Represented a leading Latin American cement manufacturer in connection with its general business strategic and transactional matters, financing activities and eventual sale to an industry conglomerate.
· Represented Seisint, Inc. in connection with its auction sale to Lexis-Nexis for a purchase price of $775 million.
· Represented a leading international telecommunications operator in connection with its financing activities, including its high-yield debt financing of $246 million under Rule 144A, and eventual sale of the company to one of the world's largest telecommunications operators.
