Representative transactions include drafting partnership agreements for limited and general partnerships in compliance with the special allocation regulations promulgated under Code Section 704(b); forming limited liability companies and corporations with basic or sophisticated capital structures; converting partnerships to LLCs; reorganizing corporations, including mergers, asset or stock acquisitions and dispositions, split ups and liquidations; negotiating and structuring real estate acquisitions and dispositions, including tax deferred exchanges; counseling to foreign businesses and individuals investing in U.S. businesses or real estate; drafting and reviewing contracts, leases and royalty agreements.
