Eric is an associate in the Business Law Department. Eric represents private equity firms, investors and private companies in a broad range of strategic transactions. His practice focuses on private equity, venture capital, mergers and acquisitions and general corporate representation.
Notable Transactional Experience
•Advised GnuBio Inc., a developer of fully integrated droplet-based DNA sequencing technology, as general counsel and in its acquisition by Bio-Rad Laboratories, Inc. in a merger transaction including milestone based contingent payments.
•Represented Boston Dynamics, Inc., an advanced robotics development company, in its acquisition by Google, Inc.
•Represented a Canadian telecommunications equipment company (multi wavelength laser, with advanced photonics, characterized by innovative power, size and cost parameters for data centers) in its initial venture capital financing
•Represented Ampersand Capital Partners in the sale of CoreLab Partners, Inc. and take-private of Bioclinica, Inc., both global clinical trial solutions businesses.
•Represented Stemline Therapeutics, Inc. in its initial public offering.
•Represented Modified Polymer Components, Inc. in its acquisition of Biomedical Structures, LLC.
•Represented existing management and a new investor team in a buyout and recapitalization of a leading supplier of liquid and gaseous oxygen and nitrogen generators and water treatment systems for the military, medical, and oil & gas markets.
•Represented Ampersand Capital Partners in multiple investments, including its investments in Roadrunner Pharmacy, a veterinary pharmacy; Modified Polymer Components, a manufacturer of polymer components for medical device OEMs; and ATS Labs, an antimicrobial testing services business.
•Represented two separate venture-funded biotechs in asset-focused reorganizations and strategic spin-off transactions, transitioning from single C corporation structures to LLC structures with several C corporation subsidiaries.
•Represented Magellan Diagnostics in its strategic spin-off of Dynex Technologies, Inc.
•Represented Magellan Diagnostics in the sale of its microbiology testing products division, TREK Diagnostic Systems, to Thermo Fischer Scientific.
•Represented multiple private companies in venture capital financings, including an early-stage technology company, a clinical trial support services company and a drug research and development company.

Before Edwards Wildman
Prior to joining the firm, Eric was the Operations & Client Services Coordinator for a national background screening and security consulting firm. Eric assisted large and small companies, government contractors, and public utilities develop and maintain comprehensive personnel security programs. Eric's responsibilities included regulatory compliance, client service, and IT planning and support. During law school, Eric served on the editorial board of the Suffolk Transnational Law Review.
