Eric Cayford, a member of Sutherland's Tax Practice Group, has experience advising and representing clients on federal tax matters, particularly international transactions, corporate restructurings and reorganizations, financing, and tax controversy and litigation.
Representative Experience
Eric's recent representative experience includes:
· Advising international clients on the structuring of inbound reorganizations and cross-border acquisitions.
· Representing clients in a wide variety of transactions including initial public offerings, taxable and nontaxable mergers and acquisitions, Rule 144A bond offerings and credit agreements.
· Representing a telecommunications company in litigation with the Internal Revenue Service (IRS) regarding the timing of worthless stock and debt deductions.
· Representing a client in obtaining debtor-in-possession financing and in undergoing a taxable reorganization under Chapter 11.
· Advising hedge funds and mutual funds on various aspects of fund formation, fund mergers, managing income accrual and the drafting and revising of charter documents.
· Advising institutional investors regarding the tax consequences of various investment opportunities, including the generation of unrelated business taxable income (UBTI).
