Eric Kogan is a member of the firm's Business Section, representing clients in a broad range of corporate, strategic, financial, and commercial transactions and providing business counseling for corporate clients as well as for entrepreneurs and executives.
Mr. Kogan has significant experience working with emerging, middle-market, and multinational clients involved in a wide range of industry verticals, including digital media, consumer products, food and beverage, and technology. He advises on structuring and negotiating the full range of commercial agreements that enable his clients to bring their products and services to market. He also represents international clients in connection with the corporate, commercial, and regulatory issues they face doing business in the United States.
Mr. Kogan also has substantial experience in complex merger and acquisition transactions, acting for both strategic and financial interests. He leads teams of skilled M&A lawyers, as well as lawyers from allied practice groups, to provide comprehensive solutions to our clients' most challenging transactions. In addition, Mr. Kogan represents venture capital and private equity investors in debt and equity financings and buy outs, and regularly advises their portfolio companies on the legal issues they face throughout their growth cycle.
Mr. Kogan also is a trusted advisor, counseling businesses and individuals regarding employment matters, including drafting and negotiating employment and compensation agreements, restrictive covenants, incentive plans, and termination and severance agreements.

Experience
- Representation of an elevator manufacturer in relocation and expansion of its manufacturing facility to Bridgeport, Connecticut. Robinson & Cole's team of lawyers from its real estate, environmental, tax and corporate practice groups helped the client obtain a loan from the Connecticut Department of Economic and Community Development (DECD) to buy the property. The firm also helped the client apply for an urban sites grant from the DECD and the Connecticut Department of Energy and Environmental Protection to remediate historic contamination on the property that was limiting its redevelopment. Robinson & Cole also assisted with a reverse 1031 sale of the client's former facility in Port Chester, New York, and purchase of a facility in Kansas before acquiring the Bridgeport site.
- Representation of The Nielsen Company (U.S.) LLC - a global information and measurement company with leading market positions in marketing and consumer information, media measurement, online intelligence, mobile measurement and trade shows - in more than 10 investment, merger and acquisition, and tax restructuring matters.
- Representation of Home Dialysis Plus Ltd. concerning investment by Warburg Pincus and Vertical Funds.
- Drafted new insurance reinvestment fund tax legislation in Connecticut and represented a group of venture capital partnerships in establishing an insurance reinvestment fund approved by the Connecticut Department of Economic and Community Development to channel investments by insurance companies into start-up or emerging businesses in Connecticut. These types of funds exist in some other states and are commonly referred to as Capco Funds.
