Eric Blanchard's practice consists principally of client representations in corporate finance transactions. He has a broad range of experience in numerous capital markets transaction types involving issuers in numerous industry sectors, including the life sciences and financial services industries. Mr. Blanchard's experience encompasses initial public offerings, follow-on equity offerings, investment grade, high-yield and convertible debt offerings, offerings of preferred and hybrid securities, and private placements. In addition, Mr. Blanchard regularly advises companies and investment banks on corporate and securities law issues, including disclosure and reporting obligations under US federal securities laws, corporate governance issues, issues arising under the Sarbanes-Oxley Act, and issues in connection with mergers and acquisitions (M&A), and other strategic transactions. Representative Matters · Represented UBS Investment Bank and the other underwriters in the $123 million initial public offering of American Depositary Shares of 3SBio, a China-based biotechnology company; · Represented Merrill Lynch and the other underwriters in the $141 million initial public offering, and subsequent follow-on equity offering, of class B common stock of GFI Group Inc., a leading inter-dealer broker; · Represented Citigroup and the other underwriters in the $122 million initial public offering of common shares of Northstar Neuroscience, Inc., a developer of neurostimulation therapies; · Represented MedImmune Inc., a leading biotechnology company, in the issuance, and subsequent registration, of convertible notes; · Represented Citigroup, Merrill Lynch and Jefferies & Co. in several offerings of investment grade notes of Jefferies Group Inc.; · Represented Progenics Pharmaceuticals, a biopharmaceutical company focusing on gastroenterology, oncology and virology therapeutics, in multiple underwritten public offerings of common stock aggregating in excess of $285 million; and · Represented UBS Investment Bank and the other underwriters in the initial Nasdaq listing and two MJDS-registered public offerings of common stock aggregating $115 million of Neurochem, a Canada-based biotechnology company developing therapeutics for Alzheimer's Disease and other protein-mediated disorders.
