Mr. Day's primary areas of practice are public finance and counseling lenders in commercial transactions.
Representative Experience
· Serving as bond counsel to Virginia localities and authorities on tax-exempt and taxable bond issues
· Serving as issuer and bond counsel on industrial development revenue bond financings
· Serving as general counsel to industrial development authorities and water and sewer authorities
· Preparing ordinances, resolutions, organization documents and service agreements in connection with the formation of regional water authorities
· Negotiating and preparing incentive and performance agreements between localities and industrial or commercial prospects
· Representing lenders and borrowers in asset-based lending, revolving loan and term loan credit facilities
· Serving as lender's counsel on real estate acquisition, development and construction loans for residential, commercial and industrial facilities
· Representing buyers, sellers, lessors and lessees of commercial and industrial real estate
· Negotiating, preparing and reviewing transactional and financing documents and performing due diligence in stock and asset acquisitions and dispositions
· Drafting corporate bylaws, minutes and resolutions, and advising corporate entities regarding governance matters
· Counseling in working capital financings and restructuring of troubled loans secured by real and personal property
