Biography

Doug Raymond has been a corporate lawyer for 25 years and has been consistently singled out as among the top lawyers in his field by Chambers USA, "Best Lawyers in America" and the Legal 500. He has been described as "an excellent advisor who stands out for his practical and solution-oriented advice" and praised for his "excellent business sense and problem-solving abilities." He has also been endorsed by Practical Law Company. Doug was formerly a Managing Partner of the firm and served as the chairman of its Corporate and Securities Practice Group for over 10 years, stepping down recently to return to the full-time practice of law.

Much of Doug's work is transactionally focused - on mergers and acquisitions, securities offerings and joint ventures - and is driven by his relationships with his clients. Doug focuses on understanding his clients' businesses and industries, their objectives and how they want to achieve them. He is dedicated to helping his clients accomplish their goals, effectively and efficiently.

Doug also works extensively on matters of corporate governance for both public and private companies, and advises boards of directors and special board committees across a range of challenges from conflicts of interest and changes in control, to corporate investigations and risk management assessment.

Acquisitions and Divestitures. Doug has represented purchasers and sellers of a broad range of businesses from insurance to transportation. He has worked closely with strategic players and private equity firms in the insurance, retail, transportation, manufacturing and logistics industries.

Recent transactions on which Doug has been engaged include:

· A billion dollars of debt and equity offerings for an NYSE-listed insurance company.

· The acquisition for a global technology company of a logistics and services business.

· The acquisition from a private equity firm of a multi-line catalog retailer for a strategic buyer.

· Divestitures for a high tech company of a principal business segment.

· The acquisition of property and casualty insurance company.

· A dual track (IPO versus auction) process for a private equity seller of a global transportation and logistics company, culminating in the sale of the company.

· The acquisition of a media business for a strategic buyer in the magazine publishing and distribution space.

· A joint venture between a strategic and financial partner in the energy business.

· The acquisition of a national retailer for a strategic buyer.

· The acquisition of a large transportation and logistics company by a strategic buyer.

· A strategic seller of a sophisticated outsourcing business in the technology space.

· Private equity buyers in a consolidation of niche manufacturing companies in a highly specialized market.

Doug has extensive experience in auction processes, both as a buyer and a seller, and he has represented corporations in fending off hostile and other unwanted advances.

Securities Transactions. Whether public or private, securities transactions are often critical events in the life of a business. Doug has helped structure securities offerings in a wide variety of situations. In these transactions, he is able to draw on his experience in representing issuers as well as underwriters and initial purchasers, and on the firm's resources and experience in the federal and state securities laws. Doug also has represented issuers in self-tender offers, spin-offs and other recapitalizations. Recent transactions include representing issuers of public or 144A securities in the semiconductor, retail and insurance markets, as well as in transportation, automotive and manufacturing.

In addition to counseling his clients in connection with securities issuances, he has a considerable history in the securitization of financial assets.

In General. Following college, Doug worked as a commercial lender. After receiving his J.D. from the University of Pennsylvania Law School magna cum laude, Doug clerked for Judge Walter K. Stapleton on the United States Court of Appeals for the Third Circuit. Doug graduated from Harvard College with a degree in classics and is a member of the boards of directors of the Philadelphia History Museum and National Community Capital Advisors.
