Faegre & Benson advises on a full range of private equity matters—including debt and equity finance and M&A.
Debt Finance. Our experience representing both lenders and borrowers, in multiple settings, plays a key role in our private equity practice. Our representation may involve bridge loans by a private equity firm to a new portfolio company, negotiating documents on behalf of a portfolio company, drafting emergency loan documents, dealing with workout issues and other lending matters. Types of loans may include senior and subordinated loans, including those in syndicated or "club deals," private placements of insurance company debt, non-registered shelf arrangements and 144A offerings.
Equity Finance. We represent private equity firms and their portfolio companies in a variety of private equity finance matters. We address the full range of issues—including tax and employment matters —to best align the needs of the private equity investors, the company and management. Our experience representing private equity firms in traditional leveraged buy-out transactions complements our representation of these clients in other equity finance transactions. These transactions include minority or "growth equity" transactions, co-investments or "club deals" and recapitalization transactions. We also represent clients in venture capital transactions.
M&A. We represent both buyers and sellers in private equity transactions. We structure transactions to manage the complex legal issues—including tax, corporate finance and securities issues—often involved in private equity M&A. Our team of transactional lawyers in Europe, Asia and the United States advises private equity firms on international deals for their respective portfolio companies' investment opportunities around the globe.
