Proposed Changes to Regime Governing Shareholder Rights Plans

On March 14, 2013 the Canadian Securities Administrators (“CSA”) introduced significant proposed changes to the regime that governs shareholder rights plans, also known as poison pills. These changes, if implemented, would see a regime far more similar to that found in the United States.
