Rico Vicencio is a shareholder in the corporate & securities and information technology practice groups, and is integral to the Northern Virginia office's initiatives in the resurgent technology industry in and around the Washington DC beltway.
As a transactional attorney, Rico represents private and public companies, and owners of closely-held companies, as well as venture capital and private equity firms, in business and financial transactions including mergers and acquisitions, securities offerings and corporate finance. He also serves as outside general counsel to a number of clients. In this role, Rico advises on a variety of general corporate matters including corporate governance, securities law compliance and reporting, commercial agreements (VAR agreements, licenses and SaaS subscription agreements), and other strategic commercial relationships involving matters such as joint ventures and teaming agreements.
Rico concentrates his practice on technology related businesses, including those involved in social media, IT-based government contracting, web-based services and applications, clean energy technologies and life sciences, but also counsels clients on transactions and other corporate matters in a wide variety of other areas including defense contracting (training, military supplies, intelligence), financial services, broadcast towers and management consulting.
Rico joined the firm in 2000, after several years of practice at DC-based Elias, Matz, Tiernan & Herrick, and prior to that, serving as an Attorney-Adviser in the Division of Corporation Finance at the U.S. Securities and Exchange Commission.
