Professional Experience
Mr. Lawatsch previously served as managing director, general counsel, and secretary to the National Discount Brokers Group, Inc. (NYSE: NDB), which was then acquired by Deutsche Bank AG, where he served as managing director and senior counsel. His responsibilities have included the supervision of legal affairs, compliance, investor relations, mergers and acquisitions, strategic planning, and human resource departments. In addition, Mr. Lawatsch served as general counsel for Midlantic Corporation and PNC Financial Services Group. He has also served as a senior partner in a large New Jersey-based law firm where he was a member of the executive and compensation committees, and director of the business transactions department.
Representative Matters
· Represented several public and private business trusts in connection with the sale of $67 million in electrical generating facilities which utilize wood waste as a fuel
· Represented several public and private business trusts in connection with the sale of over $200 million in electrical generating facilities which utilized landfill methane gas as a fuel
· Assisted several business trusts in the reorganization of ownership interests of electrical generating facilities located at one large landfill which utilized methane gas as a fuel
· Served as counsel for a bank holding company participating in the U.S. Treasury's TARP capital program
· Represented a public company in a tender offer merge with a publicly held subsidiary
· Represented a syndicate of interests in energy assets in connection with an investigation of private placement activities
· Represented a futures trading company in connection with the buyout of a partner's interest
· Represented several business trusts in connection with the sale of desalinization plants in Egypt
· Represented the state of New Jersey in connection with the rehabilitation of Mutual Benefit Life Insurance Company
· Represented the trustee in the Marvel Entertainment Group, Inc. bankruptcy
