Joe Runge represents asset-based lenders, mezzanine lenders, financial institutions and other business creditors in a full range of transactions, policy and strategies. He currently serves as counsel to lenders with offices in Baltimore, Philadelphia, New York, Chicago, Charlotte, Atlanta and Columbus, Ohio. Joe's finance transactions routinely include:
· Event-driven financing including mergers, stock and asset acquisitions, private equity and management buyouts, cash-out distributions and ESOPs
· Complex subordinated debt and subordinated collateral transactions
· Revolving credit, term loan, capital expenditure and letter of credit facilities
· Representation of the administrative and collateral agent in syndicated and club credit facilities
· Traditional accounts receivable and inventory financing
· Supply chain financing including factoring and buyer-sponsored programs
· Cross-border and multi-currency facilities
· Credits secured by foreign assets
· Secured loans involving bankruptcy remote entities
· Equity participations (including warrants)
· Restructurings, workouts and bankruptcies (including debtor-in-possession financings)
· Specialized collateral structures such as ESOP loans, loans to government contractors and secured loans to borrowers covered by PACA and PASA.
Joe also regularly serves as counsel on a variety of credit policy projects for national, regional and local financial institutions and for credit managers of Miles & Stockbridge's business clients. These projects include establishment of due diligence policies, loan form documentation, invoice and purchase order documentation, equipment leasing, interest and usury issues and lender liability prevention and defense.
Joe has extensive experience in loan workouts, troubled credits and restructurings, which often entail complicated and sensitive negotiations and document preparation. Joe has handled both personal property and real estate foreclosures and advises his lender clients on workout and collection strategies and tactics.
Joe at different times chaired the Firm's Transactional Finance Practice Group and the Firm's Bankruptcy and Creditors' Rights Group.
