Biography

During his career of over 40 years, Kim Taylor has practiced in most areas of the law involving commercial and business affairs. He now concentrates on corporate governance matters and domestic and international mergers, acquisitions, joint ventures and financings.

Mr. Taylor advises U.S. clients concerning a broad range of legal issues in connection with their domestic and overseas operations and serves as principal U.S. counsel for a number of non-U.S. clients with U.S. operations. He assists these clients in structuring and negotiating domestic and foreign acquisitions, joint ventures, divestitures, technology transfers and debt and equity financings (both public and private). In addition to having handled a wide variety of such transactions throughout the United States for a number of foreign clients, Mr. Taylor has served as lead counsel for a number of Atlanta-based public companies in the negotiation and consummation of such transactions in the United States, Canada and Mexico, as well as many of the principal commercial countries of Europe and Latin America. In the course of these activities outside the United States, Mr. Taylor has worked extensively with local counsel and has developed close relationships with leading law firms in most international commercial centers.

Mr. Taylor is past chairman of the British-American Business Council (New York and London), the umbrella "parent" association of 32 British-American business organizations in the United States and the United Kingdom. He formerly served as president of the British-American Business Group (Atlanta) and of the Georgia Council for International Visitors. Mr. Taylor is a Trustee of the Woodruff Arts Center in Atlanta and serves on the boards of directors of the Atlanta Symphony Orchestra, the Atlanta Opera and the Georgia Trust for Historic Preservation. He is a former chairman of the board of directors of Special Audiences, Inc., an Atlanta-based organization which serves the disabled and disadvantaged. Mr. Taylor also served as a Trustee of the Georgia Conservancy and on the board of directors of the Georgia Humanities Council. He is a former member of the Board of Visitors of Emory University and the University of Virginia Law School Alumni Council. He participated in the Leadership Atlanta program and is a member of the Society of International Business Fellows and the International Bar Association.

Born in Atlanta, Mr. Taylor was reared and received his secondary education in Etowah, Tennessee, where he was valedictorian of his high school class. He holds a B.A. (in Humanities) from Emory University and a LL.B. from the University of Virginia. At Emory he was elected to Phi Beta Kappa and Omicron Delta Kappa, was active in student government and was editor of the school newspaper. He was awarded a Woodrow Wilson National Fellowship for graduate study and a scholarship grant from The Newspaper Fund. Prior to entering law school, he served as an intern with The Wall Street Journal. At Virginia, Mr. Taylor was a Southeastern Regional Scholar, served on the managing board of the Virginia Law Review, was elected to the Order of the Coif and was a legal writing instructor and a semi-finalist in the Moot Court Competition.

Mr. Taylor was recognized in The Best Lawyers in America® for Corporate Law in 2012 and each of the 11 years immediately preceding. He was named a 2008 Georgia "Super Lawyer" in Mergers & Acquisitions, Securities & Corporate Finance, Business and Corporate law by SuperLawyers magazine. He is AV® rated by Martindale-Hubbell.
