Gardere attorneys provide advice on all aspects of local, state, federal, and international taxation. The attorneys in our Tax Group have extensive experience handling state and federal tax controversies before all agencies and litigation in all courts. Firm attorneys engage in all areas of local, state, federal, and international tax advice in connection with reorganizations, spin-offs, mergers, asset acquisitions, partnerships, tax-exempt entities, real estate, oil and gas, bankruptcy, international transfer pricing and other matters.

ERISA / Employee Benefits
Attorneys assist clients in designing, implementing, administering and terminating all types of retirement plans and programs, executive compensation arrangements, and welfare benefit programs. The Firm also assists in the development of strategies for managing insurance and benefit needs, identifying mechanisms for minimizing insurance premiums, and evaluating alternatives to traditional workers' compensation insurance.
 
ESOPs
Gardere lawyers have represented ESOP (employee stock option plan) trustees and other fiduciaries, selling shareholders, independent appraisers, ESOP lenders, and companies that sponsor ESOPs in transactions ranging from initial adoption to the sale of ESOP stock in connection with merger and acquisition transactions. In addition, attorneys represent ESOP fiduciaries subject to allegations of breach of fiduciary duty and prohibited transactions.
 
Federal, State, and International Tax
The Gardere Federal, State, and International Tax Practice consists of several practice specialties including federal income taxation, state and local taxation, and international taxation. Attorneys in the group have a comprehensive practice in tax planning, as well as tax controversies and litigation, and are often called on to participate in corporate, real estate, securities and business litigation matters.
 
The Federal, State, and International Tax Practice represents both public and private U.S. and foreign corporations, financial institutions, tax-exempt organizations, partnerships, self-employed individuals, estates and trusts, professional corporations, and various foreign and domestic governmental bodies. It also regularly represents corporate and individual clients before the national, regional and local offices of the IRS (Internal Revenue Service) in civil, administrative and criminal federal tax matters, and before the Texas Comptroller's office in state tax matters.
 
HIPAA Privacy
In the spring of 2002, Gardere - an established leader in the ERISA (Employee Retirement Income Security Act) and health care arenas - formed a team of ERISA and health care attorneys to provide a full array of HIPAA (Health Insurance Portability and Accountability Act) legal advice to third-party administrators, employers and the health care industry.
Gardere's HIPAA Team understands HIPAA from every angle, having represented and counseled large and small employers, TPAs (third party administrators), brokers, insurance companies, physician groups, home health agencies, pharmacies, hospitals, EAPs (employee assistance plans), health plans and other health care related entities on business, litigation and regulatory issues.
 
Tax Litigation
Gardere attorneys handle a wide variety of local, state and federal tax issues before state courts, all federal courts and the IRS, including compliance (examination and collection), Appeals, National Office, and Competent Authority proceedings.
 
Transfer Pricing
The Firm represents a number of public and private entities, including several Fortune 500 companies, in connection with transfer pricing issues all over the world, but particularly as those issues relate to Japan, Western Europe, and Latin America. One of the Firm’s tax partners, Cym Lowell, is a co-author of the leading treatise on U.S. international transfer pricing issues.
 
Trusts and Estates
Gardere’s trusts and estates attorneys represent individuals, closely held businesses, estates, trusts, public charities and private charitable foundations regarding the impact of state and federal taxes on wealth transfers, including income, gift, estate and generation-skipping transfer tax planning. The team prepares complex estate planning documents, including wills, trusts, pre- and post-nuptial agreements and assists high net worth families in restructuring their business and investment interests to achieve personal and tax-planning goals. In addition, the Firm provides services to personal representatives and trustees in all phases of the administration of estates and trusts, including complex multi-state or multi-national estates.
