| Biography | Gary Boss joined the firm in 2003. He advises on corporate transactions, with an emphasis on mergers and acquisitions and public and private securities offerings. In the last five years, Mr. Boss has represented numerous clients in acquisitions and divestitures, including: Lincoln National in its $7.5 billion acquisition of Jefferson-Pilot Financial Corporation; MetLife in numerous acquisition transactions, including its $11.8 billion acquisition of Travelers Life and Annuity from Citibank and in the sale of business lines to Great West Life & Annuity; Fidelity National Financial in various acquisitions, including its $2.8 billion recapitalization of Fidelity National Information Services and subsequent $500 million sale of minority interests to Thomas H. Lee Partners and Texas Pacific Group, its $1.8 billion acquisition of eFunds, its pending acquisition of LandAmerica Financial Services, and its $400 million acquisition of InterCept, Inc.; Munich Re Group in its $1.3 billion acquisition of The Midland Company, its $352 million acquisition from Aon Corporation of Sterling Life Insurance Company and Olympic Health Management Systems, Inc., and its $742 million announced acquisition of HSB Group from AIG; Hannover Ruckversicherung AG in its sale of various investment vehicles to American International Group, Inc.; Sun Life Financial in its $650 million acquisition of the group benefits business of Genworth Financial, and in its sale of business lines to Hartford Financial Services; Thomas H. Lee Partners and other investors in their $635 million acquisition of Sedgwick CMS Group and in their sale of a minority interest to United Healthcare; National Atlantic Holdings Corporation in its acquisition by Palisades Safety and Insurance Association; Sedgwick CMS Group in its $191 million acquisition of Security Capital Corporation; HBK Investments L.P. and Northaven Management, Inc., in their sale of Rockhill Insurance Group; and pending transactions relating to assets of American International Group. In addition to financial services and insurance M&A transactions, Mr. Boss has recently represented many strategic and financial acquirers in various U.S. and cross-border acquisitions and joint ventures unrelated to financial services, including multiple transactions for Texas Pacific Group, Thomas H. Lee Partners, Cerberus Capital Management, Corinthian Capital Group, Fidelity National Information Services, Mitsubishi UFJ, Louis Dreyfus and Telefónica. Mr. Boss also frequently advises banks and investment advisors in connection with acquisition transactions. Mr. Boss' practice also includes regularly representing issuers and underwriters in equity, debt and hybrid securities transaction and ILS transactions. Mr. Boss has represented MetLife, Fidelity National Financial, Allstate, Liberty Mutual, SCOR, Hannover Re, MBIA, Ambac, Aspen and Glacier Re, as well as Morgan Stanley, JPMorgan, Citibank, Deutsche Bank, Benfield and KBW in various equity and debt transactions. Mr. Boss has represented Fidelity National Financial in the spin-off of its title business, and subsequent spin-offs relating to Fidelity National Information Services and Lender Processing Services, Inc. |
