George Maziotis is a partner in our Business Law Group in Montréal. Mr. Maziotis carries on a corporate and securities practice focusing mainly on the areas of mergers and acquisitions, corporate finance and private equity, with particular emphasis on cross-border transactions.
Mr. Maziotis regularly acts as counsel to various domestic and foreign companies in both public and private merger and acquisition transactions. He also acts for issuers, underwriters and investors in the context of public and private offerings.
Mr. Maziotis' relevant experience includes:
· counsel to Goldman Sachs Capital Partners in respect of the acquisition of Alliance Atlantis Communications ($2.3 billion);
· counsel to Gaz Métro in respect of a proposed $2.7 billion liquefied natural gas project (Rabaska);
· counsel to Addenda Capital Inc. in connection with its $300 million merger with The Co-operators group Limited;
· counsel to CGI Group Inc. in respect of its repurchase of shares from BCE Inc. ($860 million), its acquisition of American Management Systems, Inc. (US$858 million) and subsequent divesture of AMS's Defence and Intelligence Group (US$415 million), its acquisition of Cognicase Inc. ($334 million) and its private placement in Canada of subscription receipts ($331 million);
· counsel to Cambior Inc. in respect of its acquisitions of Ariane Gold Corp. ($58 million) and Sequoia Minerals Inc. ($65 million);
· counsel to Cambior Inc. in respect of its sale to IAMGOLD Corporation ($1.2 billion);
· counsel to SGS SA, a publicly traded Swiss company, in respect of multiple private company acquisitions in Canada;
· counsel to Richmont Mines Inc. in respect of the divestiture of certain of its properties as well as in connection with various public and private offerings of equity securities;
· counsel to Ecopia BioSciences Inc. in respect of its merger with Caprion Pharmaceuticals Inc. and related private placement financing;
· counsel to BNP Paribas in respect of its equity investment in Innocap Investment Management Inc.;
· counsel to LoJack Corporation in respect of its acquisition of Boomerang Tracking Inc. ($64 million);
· counsel to Kronos Incorporated in respect of its acquisition of AD OPT Technologies Inc. ($68 million);
· counsel to U.S. and Canadian venture investors in respect of multiple cross-border (U.S. - Canada) exchangeable share financings of a Québec-based software company;
· counsel to Mediagrif Interactive Technologies Inc. in respect of multiple cross-border (U.S. - Canada) acquisitions;
· counsel to the Special Committee of B2B Trust in connection with the privatization of B2B Trust ($59 million);
· counsel to Kruger Inc. in respect of its acquisition of the Wayagamack Paper Mill from Abitibi-Consolidated Inc.;
· counsel to the underwriters in connection with multiple initial public offerings of resource flow-through limited partnerships managed by Mavrix Fund Management Inc.;
· counsel to the underwriters in connection with the $86 million initial public offering of Acadian Timber Income Fund;
· counsel to Mega Bloks Inc. (Mega Brands Inc.) in its $180 million initial public offering and subsequent secondary offerings of shares by The Blackstone Group; and
· counsel to the underwriters in connection with a secondary offering by Rogers Sugar Income Fund ($111.7 million).
Mr. Maziotis is educated in both the common and civil law judicial systems in Canada. He received his B.A. (Hons, Economics & Political Science) from McGill University in 1995 and his BCL and LL.B. from McGill University in 1999. He was called to the Québec bar in 2000.
Mr. Maziotis is a member of the Canadian Bar Association and the American Bar Association - Section of Business Law.
