George Ticknor represents banks, finance companies, public and private investment funds, and other financial institutions as general counsel in financings. George is outside counsel to public companies in the financial services and media industries. George also represents private equity funds, hedge funds, sponsor and other investor groups making investments and acquisitions. He has been involved in acquisitions and financings in a broad range of industries with special focus on the financial services, media, communications and telecommunication sectors. His experience encompasses also public debt issues and restructurings, securitization, second lien, and mezzanine financings. He also represents private equity portfolio companies and other operating companies in a range of industries including communications, financial services, and investment management.
•Represented Lamar Advertising Company, a NASDAQ 100 company in the outdoor advertising business in convertible note and high yield debt offerings aggregating many billions of dollars of the past twenty years including two senior subordinated notes offerings aggregating $1.1 billion dollars in 2012.
•Represented Lamar also in connection with its credit facility for many years including an amended and restated $975,000,000 credit facility that closed in 2012. Have served as general counsel to Lamar advising in various areas, including governance and disclosure matters and relating to its conversion to a REIT.
•Represented NewStar Financial, Inc., a NASDAQ-listed finance company, in a $100,000,000 financing with Fortress Credit Corporation that closed in 2010 and was amended in 2012 and a $70,000,000 facility with Macquarie Bank Limited that closed in 2011. Have also represented NewStar in acquisitions, including the acquisition of Core Business Credit, an asset-based lender. Have also served as general counsel to NewStar advising on matters relating to governance, disclosure, securities, Investment Advisers Act matters and debt and capital raises.

•Represented GE Capital as Administrative Agent, Lender and Arranger in leveraged financings, including:

•$100,000,000 financing in favor of Emmis Operating Company.
•$80,000,000 First Lien Financing and $90,000,000 Second Lien Financing in favor of Multicultural Radio Broadcasting.
•Represented Credit Suisse as Administrative Agent in restructuring of a credit facility in favor of Liberman Broadcasting that included exchanges and restructurings of existing bonds.
•Represented Atalaya Capital, an investment fund, in various investments, including distressed debt, investment in and subsequent take-over and sale of television programming company; and investment in real estate projects.
•Represented Wells Fargo Capital in leveraged financings, including:

•Represented RBS Citizens in financings, including:
