George Ticknor represents banks, finance companies, public and private investment funds, and other financial institutions as general counsel in financings. George is outside counsel to public companies in the financial services and media industries. George also represents private equity funds, hedge funds, sponsor and other investor groups making investments and acquisitions. He has been involved in acquisitions and financings in a broad range of industries with special focus on the financial services, media, communications and telecommunication sectors. His experience encompasses also public debt issues and restructurings, securitization, second lien, and mezzanine financings. He also represents private equity portfolio companies and other operating companies in a range of industries including communications, financial services, and investment management.
•Represented Lamar Advertising Company, a NASDAQ 100 company in the outdoor advertising business in convertible note and high yield debt offerings aggregating many billions of dollars of the past twenty years including two senior subordinated notes offerings aggregating $1.1 billion dollars in 2012.

•Represented Lamar also in connection with its credit facility for many years including an amended and restated $975,000,000 credit facility that closed in 2012. Have served as general counsel to Lamar advising in various areas, including governance and disclosure matters and relating to its conversion to a REIT.

•Represented NewStar Financial, Inc., a NASDAQ-listed finance company, in a $100,000,000 financing with Fortress Credit Corporation that closed in 2010 and was amended in 2012 and a $70,000,000 facility with Macquarie Bank Limited that closed in 2011. Have also represented NewStar in acquisitions, including the acquisition of Core Business Credit, an asset-based lender. Have also served as general counsel to NewStar advising on matters relating to governance, disclosure, securities, Investment Advisers Act matters and debt and capital raises.

•Represented NewStar as Administrative Agent and Lender in leveraged financings, including:
•$60,000,000 financing in favor of Media Storm
•$43,000,000 financing in favor of Edline.

•Represented Bank of America as Administrative Agent, Lender and Arranger in leveraged financings, including
•$45,000,000 financing in favor of Diversified Communications.
•$100,000,000 financing in favor of Ameresco.

•Represented GE Capital as Administrative Agent, Lender and Arranger in leveraged financings, including:
•$110,000,000 financing in favor of Wilkes Broadcasting.
•$100,000,000 financing in favor of Emmis Operating Company.
•$80,000,000 First Lien Financing and $90,000,000 Second Lien Financing in favor of Multicultural Radio Broadcasting.

•Represented Credit Suisse as Administrative Agent in restructuring of a credit facility in favor of Liberman Broadcasting that included exchanges and restructurings of existing bonds.

•Represented Atalaya Capital, an investment fund, in various investments, including distressed debt, investment in and subsequent take-over and sale of television programming company; and investment in real estate projects.

•Represented Wells Fargo Capital in leveraged financings, including:
•$50,000,000 financing of Brightree.
•$45,000,000 financing in favor of Sparta Systems

•Represented RBS Citizens in financings, including:
•$145,000,000 in favor of North American Breweries.
•$18,000,000 capital call facility in favor of Eureka III LP.

GE Capital Financing

Our Business Law lawyers represented General Electric Capital Corporation in a $160,000,000 Senior Secured Credit Facility to a media and broadcasting company serving the Boston, Charlotte, Detroit, Philadelphia, and New Jersey markets.

Lamar Advertising Placement of Subordinated Notes

In 2012, our Securities lawyers represented Baton Rouge, Louisiana- based Lamar Advertising Company as issuer in the Rule 144A and Reg S Placement of 5% Senior Subordinated Notes due 2023.

GE Capital Credit Facility for Media Industry

In May 2012, Edwards Wildman lawyers in Boston represented General Electric Capital Corp. in senior secured credit facility for a radio broadcasting company.

Lamar Advertising Tender Offer

We represented Lamar Advertising in the 2012 tender offer for up to an aggregate of $700,000,000 6 5/8% Senior Subordinated Notes due 2015, 6 5/8% Senior Subordinated Notes due 2015 - Series B and 6 5/8% Senior Subordinated Notes due 2015 - Series C.

Rule 144A and Reg S Placement of 5 7/8% Senior Subordinated Notes Due 2022

In February 2012, we represented Lamar Advertising as issuer in the Rule 144A and Reg S Placement of 5 7/8% Senior Subordinated Notes due 2022. Baton Rouge-based Lamar is the nation's leading out-of-home advertising company.

Amended and Restated Existing Senior Credit Facility through Restatement Agreement

Our lawyers represented Lamar Advertising in February 2012 in the amended and restated existing senior credit facility through Restatement Agreement, added additional term A-3 loan.

NewStar Financial Senior Secured Credit Facility

We represented Boston-based NewStar Financial in the October 2011 senior secured credit facility for Media Storm, Maude, and Shamrock Media.
