| Biography | Gerald F. Mace is a partner at Waller Lansden. Mr. Mace represents clients primarily on matters involving corporate and public finance, securities, the formation, acquisition and sale of businesses, and corporate restructuring. Mr. Mace's practice is international in scope; he has secured loans in the United States, Great Britain, France, Sweden, Hong Kong, Germany, Central and South America and Japan. Mr. Mace is recognized in America's Leading Business Lawyers (Chambers & Partners) and The Best Lawyers in America (Woodward White, Inc.) for his work in banking and finance law. Mr. Mace has also been recognized in Mid-South Super Lawyers and the Nashville Business Journal's "Best of the Bar." In the area of public finance, Mr. Mace has represented municipal governments, educational institutions and nonprofit healthcare providers in numerous bond issuances. His corporate finance experience includes the representation of a national hospital system in the negotiation and issuance of more than $700,000,000 of its high yield notes and the negotiation and closing of its $1,000,000,000 senior secured credit facility; the representation of the senior lender in restructuring an $80 million facility to a national home health provider in bankruptcy and in connection with the debtor's emergence from bankruptcy. He also provides counsel to specialty healthcare lenders in structuring and negotiating asset based loans and syndicated first lien/second lien loans to healthcare companies. Mr. Mace's practice also includes the representation of financial institutions and indenture trustees with respect to bond issues and distressed loans, both prior to and following defaults. He currently represents the indenture trustee in connection with ongoing Jefferson County, Alabama bond defaults of more than $3,200,000,000 of the County's sewer revenue warrants and $120,000,000 of the County's general obligation warrants, in what is viewed as potentially the largest municipal bankruptcy in U.S. history. Additionally, Mr. Mace has represented the indenture trustee for $300,000,000 senior subordinates notes issued by Service Merchandise Company, Inc. in the company's bankruptcy case filed in Nashville, Tenn. and the indenture trustee for over $1,000,000,000 of bonds issued or guarantied by Kmart Corporation in the company's bankruptcy case filed in Chicago.
