Gerald P. McCartin is a partner in both the Health Care and the Corporate and Securities Practice Groups. Gerry's 30-year practice as a corporate lawyer focuses on mergers and acquisitions, joint ventures, venture capital, management agreements, and corporate and securities law, a significant part of which is in the health care arena.
Mergers and Acquisitions. Gerry represents companies in both the acquisition and disposition of businesses. Some of his recent transactions include the representation of a health information management and transcription company in a $60 million acquisition by a private equity company, a healthcare information technology company in an $85 million merger with a public company, an international consulting company in a $20 million acquisition by a public company, an educational information technology company in a $260 million acquisition by a private equity company and several acquisitions and dispositions of diagnostic imaging centers. Gerry also regularly represents clients in the acquisition and disposition of components of their businesses in asset, equity and merger transactions.
Joint Ventures. Gerry regularly represents companies in the health care industry in the formation of joint ventures, including a nonprofit medical center in the formation of joint ventures for the purpose of developing and commercializing health care-related technologies, a public diagnostic imaging company in the formation of joint ventures to operate diagnostic imaging centers and a nonprofit medical center in the formation of a joint venture to construct and operate a hospital.
Venture Capital. Gerry represents clients, including a nonprofit medical center, in the negotiation of investments in portfolio companies in health care information technology and related fields.
Management Agreements. Gerry represents companies in the health care industry in the negotiation of management agreements. His clients include a company that manages hospitals, a company that manages health information departments of hospitals and a nonprofit medical center that manages hospitals and service lines within hospitals both domestically and internationally.
Corporate and Securities. Gerry represents public and private companies in corporate and securities matters, including corporate governance counseling and as outside general counsel on a wide range of matters.
Background. Gerry received his J.D. degree, cum laude, from Georgetown University Law Center in 1979 and his bachelor's degree, cum laude, from Georgetown University in 1976. Gerry is admitted to practice in the District of Columbia and Virginia. Prior to joining the firm, Gerry was a partner with Hunton & Williams, LLP in its capital markets group and a partner with Arent Fox Pllc in its corporate and securities group.
