Representative Matters
· Assists clients in numerous types of corporate transactions, including acquisitions, mergers, and financings primarily in the hospitality industry;
· Provides general business counseling in the formations of and preparation of agreements relating to corporations, partnerships, limited liability companies, and other entities;
· Hospitality practice includes: (i) the negotiation, drafting and review of a wide range of day-to-day hotel agreements for numerous hotel management companies, including equipment leases, space leases, antenna license agreements, room accommodation agreements, group sales agreements, advertising agreements, commitment agreements and several other types of similar agreements; (ii) all aspects of applications for a negotiation of franchises; (iii) hotel purchase and sales agreements; and (iv) drafting and review of hotel licensing and management agreements;
· Counsels clients on UCC - Article 2 issues involving the sale of goods and the negotiation of the accompanying terms and conditions.
