| Biography | Greg Nelson is a member of the firm's corporate transactions group, with an emphasis on mergers and acquisitions, private securities offerings and business structuring and formation. He also advises companies regarding securities law compliance and related disclosure, corporate governance and fiduciary obligations. Greg has advised clients with respect to transactions in a broad array of industries, including internet retail, banking and finance, transportation and logistics, insurance, medical devices, gold mining, energy (natural gas, petroleum refining, and coal), construction, nanotechnology, nutraceuticals, commercial real estate development and professional staffing services. He represents private equity funds and banks as well as public and private companies on both the buyer and seller side, and has worked on international transactions involving companies and assets located in foreign countries, including the United Kingdom, Europe, India, Japan and the Caribbean. Greg's representation of corporate clients also encompasses the drafting and negotiation of joint venture agreements, licensing agreements, distributions agreements, service and supply agreements, employment agreements, consulting agreements, shareholder and investor rights agreements, loan and security agreements and confidentiality agreements. Greg has developed a secondary area of expertise in contract drafting and negotiation and related risk management issues, primarily advising clients on service and supply contracts for the energy and refining industry. Greg has negotiated contracts on behalf of his clients with major industry players, including Exxon Mobil Corporation, Sunoco, Inc., The Sinclair Companies, Dresser Rand, Koch Industries, CH2M Hill, Praxair, Inc. and Matrix Service Company.
