Biography

Hemmie Chang is a Partner at Foley Hoag LLP, where she chairs the Licensing & Strategic Alliances Practice Group and focuses on complex collaboration and licensing transactions. She is a member of the firm's Life Sciences, Venture Capital & Emerging Companies, and Energy Technology & Renewables practices. Hemmie has over two decades of experience advising both pharmaceutical and emerging biotech companies on IP transactions, including the acquisition and disposition of assets.

Representative Experience

The following is a brief summary of Hemmie's experience and accomplishments:

· Collaboration and licensing transactions, mergers and acquisitions and investments for major pharmaceutical and emerging high-growth companies, including:
- Research and development deal with equity co-investment and option to purchase with a major device manufacturer.
- Metamark Genetics-Janssen Biotech early stage discovery collaboration deal in cancer (up to $365 million).
- Early stage discovery and equity investment deal with a major European partner.
- Development and supply agreement for the U.S. subsidiary of a major Japanese conglomerate.
- Represented Arisaph Pharmaceuticals in a major reset of royalty and other payments to monetize $26.25 million in upfront and ongoing payments from Royalty Pharma.
- Translational Therapeutics Inc.-Clavis Pharma, Inc. oncology candidate in-license (BioWorld International Deal of the Week).
- Negotiation of licenses for nanotechnology companies.
- Advise on genomic sequencing licensing matters.
- Spinoff of assets (e.g. oncology programs, deep brain stimulation technology).
- Advise on numerous academic licenses from Harvard, MIT, Whitehead Institute, Johns Hopkins and UCSF.
- Representation of lead investor in an over $1 billion investment in the largest contract research organization worldwide.
- Acquisition of pediatric asset and related collaboration.
- Representation of a bidder for a Fortune 100 company's sale of its imaging business.

· Investments, mergers and acquisitions and financings in energy and renewables (solar, wind) and other projects.
