Henrick Simard practises business and securities law, and takes a particular interest in financing by way of public or private offering, mergers and acquisitions, going-private transactions, corporate restructuring and governance. In the area of securities law, he represents issuers, dealers and investors in initial public offerings and other public and private distributions of securities. Mr. Simard frequently advises clients on corporate restructuring, continuous disclosure obligations, governance matters, preparation of shareholder meetings and other routine securities matters.
In the area of mergers and acquisitions, he has gained particular expertise in various major transactions involving public and private companies, in which he has represented either the vendor or the purchaser. He also advises companies on various aspects of their operations and often helps clients negotiate and draft commercial agreements and strategic alliances, advising more particularly on matters of directors and officers' liability and shareholder agreements.
During his studies, Mr. Simard clerked with the Honourable Mr. Justice Louis Lebel, then of the Quebec Court of Appeal.

· Industrial Alliance Securities Inc. and M. Partners LP, as agent, in the initial public offering of Innoventé inc., a Quebec-based green energy company
· Les Serres du Saint-Laurent inc. in the construction in Mexico of greenhouses to produce tomatoes for the US market
· The Special Commiteee of the Board of Directors of Excellence, life insurance company, in its privatization by its principal shareholder
· The Special Committee of the Board of Directors of Cossette Inc. in connection with an unsolicited, non-binding proposal by Cosmos Capital Inc. to acquire all of Cossette's shares and the subsequent sale of Cossette Inc. to Mill Road Capital, LP ($131.5 million)
· Train touristique de Charlevoix inc in the acquisition and subsequent operation of a local touring train
· Copernic Technologies inc. in the sale of all of the issued and outstanding shares of its share capital to Mamma.com inc. ($28 million)
· iPerceptions inc. in its initial public offering and qualified transaction on the TSX Venture Exchange and its prior reorganization
· Lyrtech Inc. in various acquisitions, including the acquisition of Innovator Electronic Assembly Inc. and associated financing for an aggregate amount of $26 million
· A group of private investors in an $85 million investment in a private investment fund operating in the health sector
· Nstein Technologies Inc., a public company, in the takeover bid made by Open Text Corporation ($35 million)
