Henry Beck has broad experience in the fields of business and finance law. His practice concentrates on domestic and international mergers and acquisitions, equity finance (venture capital, private placements, commercial-equity hybrids, and securities offerings), securities law compliance, commercial finance, business governance and equity holder affairs, intellectual property, e-business, business succession and estate planning, and general business and contract law.
Henry's practice often involves internationally focused transactions for midmarket clients with a global reach. He actively represents the firm on the ALFA International Law Practice Group and has moderated several ALFA International programs on merger and acquisition and distribution agreement topics. Henry regularly partners with his peers at other ALFA firms around the world to provide seamless and timely legal expertise that clients also find to be economical and efficient.
His legal ability and ethical standards have earned him an AV rating from the peer-reviewed legal directory, Martindale-Hubbell . Chambers USA has recognized Henry as a Notable Practitioner. With prior experience as a hands-on business entrepreneur and CEO of a closely held business, Henry understands the practical as well as the legal aspects of running a business and the need for a rapid response time. He applies this business management perspective to the legal counsel he provides to clients in a wide range of businesses and industries.
A science major before law school, Henry maintains a keen interest in science and technology, both through avocation and through his clientele. He is a former trustee, executive committee member and corporate secretary of the Science Center of Connecticut.
He is presently serving as Co-Chair of the International Law Practice Group of ALFA International, the law firm association with members in all 50 states and more than 60 countries of which Halloran & Sage is a charter member. He is a member of the Connecticut World Affairs Council. He formerly served as an appointee to the Secretary of State's Business Advisory Committee. Henry is the immediate past Chair of the Business Law Section of the Connecticut Bar Association and an active member of the Business Law Section of the American Bar Association, where he sits on its Middle Marker and Small Business Committee. He has served on the faculty of the ABA National Institute on Closely Held Businesses. Henry serves as town counsel for the town of Columbia, Connecticut. He is a former member of the executive committee of the Board of Directors of the Greater Hartford Chamber of Commerce as the chair of its Small Business Counsel. Henry's leadership has been recognized by his alma mater. He has received the Charles A. Duke Award for his dedicated service on the Executive Committee of the General Alumni Association of Duke University.
|Reported Cases||Representative Matter: H & S Assists in International Intellectual Property Acquisition H & S has assisted a client in performing and analyzing incredibly time sensitive due diligence focused on the possible acquisition of the worldwide intellectual property and other assets of a family of businesses with operations in California, South America, the Pacific Rim and the European Union. These companies were in receivership in California. In the process, we uncovered deal threatening weaknesses in the receiver's control over key assets outside of the United States and assisted in developing a strategy to remedy the same. Ultimately, the transaction did not proceed because of the occurrence of unanticipated overseas events. We acknowledge the timely assistance of ALFA International Global Legal Network in this project. Firm Assists Tech Company Raise Capital Utilizing Angel Investors The firm has assisted a start-up tech venture, with products that utilize cell phone and blue tooth technologies, raise seed capital from a number of angel investors in reliance on Regulation D of the Securities and Exchange Commission. Henry Beck , aided by Matt Teich, provided market savvy guidance for this equity raise. Firm Attorney Negotiates Agreements on Behalf of High Profile Clients for Performance Products for Athletes The firm's attorneys under the leadership of Henry Beck represent a growth client with a high tech performance product marketed to Athletes. Services have included negotiation of personal endorsement/appearance agreements with high profile personalities. Henry Beck Teams with ALFA International Indian Counterpart to Provide Counsel Regarding a Joint Venture One of the firm's aerospace clients has become a joint venturer with a manufacturer in Chennai India. Partner Henry Beck teamed with the firm's ALFA International counterpart in India, Kochhar & Co., to structure the arrangement and provide critical guidance to the client in successfully launching the venture. Firm Assists Manufacturer and its Subsidiaries in Refinancing The firm recently assisted a sporting and athletic goods manufacturer and several of its offshore subsidiaries refinance their multifaceted, multicurrency Credit Agreement with a syndicate of five money center banks with global reach. H & S Assists Regional Restaurant with Lease and Build to Suit Transaction H & S negotiated a lease and build-to-suit transaction for a regional restaurant chain focused on strategic expansion in the Boston beltway. H & S Handles Risk Management Needs for Manufacturing Companies H & S is regularly assisting the risk management needs of a manufacturing company with several lines of proprietary products in the review and analysis of supply agreements and purchase orders submitted by its various customers, including, Fortune 50 companies. We are successfully negotiating and documenting satisfactory changes that significantly reduce our client's risk exposure. H & S Assists In Acquisition And Introduction Of International Line H & S has been instrumental in assisting a client in the strategic acquisition of a new product line to introduce into its North American, Pacific Rim and European Union marketing and distribution chains. H & S Assists In International Expansion Endeavors H & S recently guided a large New England based firm as it acquired its distributorship in Australia as part of its program of international expansion. We were ably assisted in this transaction by our fellow ALFA International member firm in Sydney, Tress Cox. We are also serving as a member of the same client's team of advisors evaluating other international expansion opportunities. We will also be aided in this effort by other ALFA International firms. H & S Assists Client Close The True Sale Of $50 Million In Accounts Receivables To A Large Commercial Bank H & S recently assisted a large private client negotiate, document and close the true sale of $50M of accounts receivable to the business credit division of a large commercial bank. This off-balance sheet transaction not only assisted the client in augmenting its otherwise substantial line of credit from a consortium of money center banks, but also, due to its off balance sheet characteristics, offered protection against the potential adverse affects of the soft economy on certain financial covenants. H & S Provides Transactional Support to a Sporting and Athletic Goods Manufacturer Acquisitions A team of attorneys from Halloran & Sage Mergers and Acquisitions Practice Group, led by Henry Beck, Jr. has negotiated, documented and closed several key asset acquisitions for The Burton Snowboard Company each of which had major international components in which various Halloran & Sage affiliates in the ALFA International Global Legal Network seamlessly assisted at a significant cost savings to the client. Henry notes that, as with many M&A deals involving the acquisition of privately held mid-market companies the team's challenges and excitement in working until the Burton team come from piecing together due diligence results to craft and negotiate a risk-balanced transaction with win-win solutions. H & S Provides Transactional Support to a Sporting and Athletic Goods Manufacturer in Australian Acquisition Matter A team of attorneys from the Mergers and Acquisitions Practice Group, at Halloran & Sage and from its ALF Global Legal Network affiliate, TressCox led by Henry Beck, Jr. recently assisted a sporting and athletic goods manufacturer in acquiring a Sydney, Australia based distributor, formerly known as Expression Sports Australia (ESA). The deal strategically positioned Burton to expand its snow, surf and skate brands in this important market. The acquisition was particularly interesting and exciting because of the international and multijurisdictional aspects of M&A, tax, accounting, and intellectual property laws, practices and procedures. It was the third internationally flavored M&S transaction involving Henry's team in the last twelve months. Halloran & Sage's Merger and Acquisition Practice Group is part of its larger Business and Securities Law Practice area which focuses on providing skilled services to its clientele, principally privately held middle, small and emerging businesses who value solution oriented, risk managed legal services attentively tuned and delivered.|
