He has extensive experience in negotiating, drafting and interpreting a wide variety of documents, including credit and loan agreements, prospectuses and offering circulars, trust indentures for the issue of debt securities, agreements relating to the purchase and sale of businesses and other more specialized types of contracts. Herb has broad experience representing lenders and borrowers in syndicated credit facility transactions, and in the issue of debt securities in the capital markets by way of prospectus offerings and through private placements. Herb also has experience in project financing and public/private partnership transactions. He has acted for issuers and purchasers of debt securities in connection with the financing of cogeneration plants and hydroelectric facilities. He also acted for a short-listed proponent in the Okanagan Lake Crossing transaction and for the lender to a proponent in the Sea to Sky Highway project. Herb acted for British Columbia Transmission Corporation in connection with its assumption of the operation and management of the electricity transmission system from BC Hydro. He represented the pipeline companies in the financial restructuring of the Vancouver Island National Gas Pipeline, including provincial support arrangements through royalty payments. Herb has been recognized by the 2007 Guide to the Leading 500 Lawyers in Canada, compiled by LEXPERT and American Lawyer, as one of nine leading corporate commercial lawyers and one of four leading project finance lawyers in British Columbia.
