Herbert Short is the Practice Group Leader of Sutherland's Energy & Environmental Group, comprised of lawyers in Washington, D.C., New York, Houston, Austin and Atlanta. He is a senior transactional and securities lawyer focusing on representing the electric utility industry in complex financings. Herbert has represented electric utility clients in numerous financing deals, including publicly issued bond offerings, leveraged leasing transactions, tax-exempt bond offerings, revolving lines of credit, government-guaranteed financings, and commercial paper transactions. In addition to his focus on the utilities industry, Herbert has substantial experience representing clients in corporate and securities transactions, including mergers and acquisitions, bond offerings and other financings. He also advises corporate boards and management on corporate governance issues, including Sarbanes-Oxley compliance and regulatory matters before the Securities and Exchange Commission. Representative Experience Herbert's experience includes the following recent transactions: · Serving as underwriter's counsel for J.P. Morgan Securities, Goldman, Sachs & Co. and Banc of America Securities LLC (and other co-managers) in a $1.3 million offering. · Representing Goldman, Sachs as underwriter's counsel in the offering of $83,300,000 tax-exempt Bonds. · Representing Oglethorpe Power Corporation in taxable offerings of $750 million of SEC Registered Bonds. · Representing Oglethorpe Power Corporation in an offering of $500 million of term bonds under Rule 144A of the Securities Act. · Representing Oglethorpe Power Corporation in more than $1 billion of tax-exempt bond offerings. · Representing Goldman Sachs & Co. and Banc of America Securities LLC in the conversion of more than $71 million of auction-rate bonds to term-rate bonds in order to remove the original bonds from the auction-rate securities market. · Representing Oglethorpe Power Corporation in the conversion of more than $315 million of auction-rate bonds, via two separate offerings, to term-rate bonds in order to remove the original bonds from the auction-rate securities market.
