Real Estate Investment Trusts (REITs)
Holland & Knight's REIT lawyers have substantial experience in the structuring of publicly offered real estate investment trusts, as well as private REITs. We provide counsel on all aspects of corporate governance, tax compliance and SEC registrations for both publicly traded and non-traded REITs.
Our tax lawyers provide advice in connection with initial REIT qualification and ongoing REIT operations, including transactions involving property ownership by qualified REIT subsidiaries and transactions involving the transfer of real properties to limited partnerships having a REIT as the general partner (UPREITs), and the activities of taxable REIT subsidiaries.
Our REIT representation across the U.S. is enhanced by a seasoned and diverse real estate practice, which has the capacity and experience to handle the transfer and financing aspects of significant real estate transactions on behalf of our REIT clients and to coordinate and perform due diligence on large real estate portfolios.
We have represented REITs investing in real estate portfolios ranging from office buildings and shopping centers to hotels and cell phone towers. We have also represented REITs that invest primarily in mortgage portfolios.
