Practice/Industry Group Overview
Outsourcing transactions are a major focus of HRO’s Technology and Intellectual Property (TIP) Transactions Practice, and we have developed significant experience counseling clients in IT, manufacturing, and business process outsourcing transactions. Our lawyers regularly represent both outsourcing vendors and outsourcing customers in outsourcing transactions in a broad range of industries. As with other major technology transactions, our lawyers combine legal expertise with practical business orientation and industry knowledge to help clients identify opportunities and risks, and structure appropriate solutions.
We work closely with our clients, often joining client businesspeople and in-house lawyers as part of the client's outsourcing team. This collaborative approach is often a key component in reducing the often adversarial nature of the outsourcing process and enables our clients to close their outsourcing deals more efficiently and effectively.

Services Available
Our experience spans the entire outsourcing process, including:
- Drafting and responding to requests for information (“RFIs”) and requests for proposal (“RFPs”);
- Evaluating competing vendor responses to RFIs and RFPs;
- Structuring, drafting, and negotiating definitive outsourcing agreements and schedules;
- Negotiating amendments and renewals of existing outsourcing arrangements; and
- Assisting with the termination of existing outsourcing arrangements and the transition to new outsourcing providers.
Large outsourcing transactions frequently require the expertise of attorneys in multiple practice areas. As a result, the attorneys in our TIP Transactions Practice regularly work with attorneys in our other practice groups to deal with issues involving employment, employee benefits, real estate, intellectual property, data privacy and confidential information, bankruptcy, environmental, tax, and others. Likewise, outsourcings are rarely limited to one country and often involve services in multiple countries on multiple continents. We have experience working on outsourcing transactions based in India, Pakistan, Sri Lanka, Malaysia, China, Eastern Europe, and other key outsourcing markets.
