Biography

Hugo Lopez Coll represents domestic and international clients on restructuring and insolvency procedures, mergers and acquisitions, private equity, capital markets, regulatory and compliance matters, real estate, shareholders' disputes, and gaming issues.

With respect to restructuring matters, Hugo has represented clients in several reorganizations, restructurings and workouts, as well as bankruptcy and cross-border insolvency procedures, both in and out of court, under the Mexican Concursos Law (Ley de Concursos Mercantiles).

Hugo advises Mexican entities and their holding companies, both in regulated and non-regulated industries, on regulatory and compliance matters with several Mexican laws, including: (i) the Anti-Money Laundering Law (Ley Federal para la Prevencion e Identificacion de Operaciones con Recursos de Procedencia Ilicita); (ii) the Anti-Corruption Law for Government Procurement (Ley Federal Anticorrupcion en Contrataciones Publicas); (iii) the Data Protection Law (Ley Federal de Proteccion de Datos Personales en Posesion de Particulares); (iv) the Consumer Protection Law (Ley Federal de Proteccion al Consumidor); (v) the Gaming Law (Ley Federal de Juegos y Sorteos); and (vi) other laws in the financial, telecommunications and other regulated industries.

Hugo regularly assists clients with issues arising under the Foreign Corrupt Practices Act (FCPA), the OECD Convention and the UN Convention Against Corruption.

The transaction encompassed: (i) restructuring of the company through a pre-pack reorganization procedure under the Mexican Concursos Law (Ley de Concursos Mercantiles) and the Chapter 15, Title 11, of the U.S. Code; and (ii) issuance of new debt with a value of more than US$1.4 billion, including the issuance and placement of notes with a value of US$220 million issued abroad under Rule 144 and Regulation S of the Securities Act of 1933 of the United States of America.; Represented, as a member of a team, a Mexican telecommunications company and its subsidiaries in the restructuring procedure of their debt with a value of more than US$600 million through a pre-pack reorganization procedure under the Mexican Concursos Law (Ley de Concursos Mercantiles).; Represented, as a member of a team, the ad-hoc committee of holders of notes in the restructuring procedure of a Mexican mortgage company with a value of more than US$300 million.; Represented, as a member of a team, the ad-hoc committee of holders of notes in the restructuring procedure of a Mexican company leader in the building materials industry with a value of more than US$730 million, including the issuance and placement of notes with a value of US$280 million issued under Rule 144 and Regulation S of the Securities Act of 1933 of the United States of America.
