| Biography | Experience - During 2007, after leading a Morgan & Morgan team that coordinated the obtainment of regulatory approvals in Panama and Central America needed for HSBC's US$1.8 billion purchase of Banistmo and handling the tender offer process related to said purchase in 2006, Galindo handled post acquisition matters for HSBC Panama, including, the merger of bank holding company Grupo Banistmo, S.A. into HSBC Bank (Panama) S.A., an offer to purchase more than US$200 million in preferred shares issued by Grupo Banistmo subsidiaries, certain asset dispositions, and regulatory matters related to the integration of the HSBC Group operating banks in Panama. In addition, Galindo has advised HSBC in a number of financing transaction both to the public sector and to private parties, including, a US$42 million loan related to an irrigation project developed by the Government of Panama, advising an HSBC Panama subsidiary who acted as escrow agent in connection with the public tender offer whereby Bancolombia acquired Banagricola (a US$791 million transaction), restructuring of a syndicated secured loan for a Colombian power generation company including additional loans of more than U$100 million. Galindo also advised HSBC Group and obtained Panamanian regulatory approval in connection with HSBC's bid to acquire Korea Exchange Bank, a transaction worth more than US$6 billion. - On the other hand, Mr. Galindo also lead the Morgan & Morgan team that represented AES Changuinola, S.A., an indirect subsidiary of AES Corporation, in the US$366 million syndicated secured financing of a new 223 MW hydroelectric power plant that is being developed in the Province of Bocas del Toro, Panama. - Furthermore, he represented the Andelex Group in its US$60 million secured financing related to the acquisition of the Veneto Hotel & Casino in Panama. - Concerning real estate practice, Galindo has acted as local counsel for the Department of State of the US Embassy in connection with real estate matters related to the property portfolio in Panama and its termination of certain leases including claims related to the same. - Prior to joining Morgan & Morgan, Mr. Galindo gained experience as Associate at Hogan & Hartson, L.L.P., Washington, D.C., USA, from 1996 until 1998.
