Barrett Ellis advises corporate and financial institution clients in a wide range of transactional matters. He has extensive experience as counsel to borrowers and lenders in all manners of commercial lending transactions, including single-lender and syndicated credit facilities, first and second lien credit and note purchase agreements, and unsecured financings. Additionally, Barrett regularly represents banks and bank holding companies in regulatory matters, mergers and acquisitions, and other transactional matters.
Following graduation from Harvard Law School, Barrett practiced for several years in the Chicago office of a large international law firm, where he represented many preeminent national banks, private equity funds and publicly traded companies. He returned home to Oklahoma and joined McAfee & Taft in 2010.
Representative Experience
· Represented a publicly traded bank in a $300 million divestiture of a performing, subperforming and non-performing commercial real estate loan portfolio and real estate owned (REO) properties.
· Representation of borrowers and lenders in commercial lending transactions, including single-lender and syndicated secured and unsecured credit facilities, second lien credit and note purchase agreements, acquisition financings, and structured note tax credit financings.
· Representation of banks, bank holding companies and other financial institutions in mergers and purchase and assumption transactions.
· Representation of buyers and sellers in merger and acquisition transactions.
· Representation of originators in negotiation and documentation of domestic and international trade receivables securitization programs.
