Professional Experience
Bruce Boisture advises business and not-for-profit clients with regard to major transactions, significant contract disputes, and financings. He has experience working with start-up companies and in turn-around situations in a wide variety of industries, including banking, insurance, medical devices, data management and communications, and investment management. He has represented institutional investors in the assertion of their claims with regard to their investments in residential mortgage backed securities. Most recently, he has helped lead the working group focused on hospital mergers, acquisitions, and joint ventures.
Prior to rejoining the firm, Mr. Boisture served as the chief operating officer of a large private equity investment firm and as president of a publicly traded life insurance company, a start-up medical device company, an education data management company, and an industrial hydrogen technology company, as well as on several boards of directors.
Representative Matters
· Representation of a private equity firm in the development and execution of a program of tax-advantaged transactions
· Representation of a private equity fund in a contract dispute arising out of an escrow arrangement related to an earlier merger of a portfolio company
· Representation of a hospital in creating a joint venture with another hospital to build and operate an outpatient cancer treatment center
· Representation of the acquirors of an equipment leasing business
· Representation of a large equipment vendor in the formation and start-up of a new equipment leasing company
· Representation of a closely-held consumer products company in a debt financing
· Representation of large institutional investors in the assertion of their claims for rescission of purchases of residential mortgage-backed securities
· Representation of private investment funds in the assertion of their claims to force third-party repurchases of mortgage loans from trusts that issued residential mortgage-backed securities purchased by the funds
