Topper Webb represents a variety of business entities, financial institutions and individuals in a general business and transactional practice. Topper represents numerous publicly held real estate investment trusts and Maryland corporations with respect to Maryland's corporate laws. He and a team of lawyers in Miles & Stockbridge's corporate group have assisted those clients, as well as Maryland corporations that are registered investment companies, accomplish complex corporate and financial transactions and business combinations. Topper frequently counsels boards of directors and committees of boards regarding corporate governance issues, implementing takeover defenses, compliance with Maryland corporate laws and the duties of directors. He has advised special committees of boards created for the purpose of evaluating possible business combinations. He also advises not-for-profit entities on corporate governance and general business matters.
Topper represents large and small business entities in connection with mergers and acquisitions and joint ventures (inside and outside the United States). He has represented private equity investors making investments in a variety of industries and he regularly counsels several multi-national manufacturing companies with respect to a wide variety of financial transactions. Topper has advised his clients in the structuring and implementation of numerous credit facilities, structured finance transactions, acquisition financing and securitization of accounts receivable and other assets.
