Biography

Jacob A. Lutz, III ("Jake") chairs the Firm's Financial Institutions Practice Group, which represents national banks, state banks, thrifts, credit unions, securities firms, insurance companies, and related financial services providers domestically and internationally. He assists in the formation of new financial institutions, including national banks, state banks, and thrift institutions, their holding companies and affiliates, including non-bank affiliates and subsidiaries. His practice involves all phases of de novo bank organization, including capital formation and structure, corporate governance, stock compensation plans, multi-jurisdiction offerings, private placements, Subchapter S tax considerations and related matters. Jake also advises regarding these bank holding companies and single and multi-bank models, as well as the purchase and sale of bank holding companies, financial institutions, non-bank affiliates, and other financial entities.

Jake assists mature institutions in connection with capital formation and restructuring issues, including new offerings, debt and trust preferred issues, stock repurchases, reverse stock splits, going private transactions, and other related transactions involving the structure and design of capital. He also assists with charter selection issues, including charter conversions and holding company reorganizations. Jake also assists clients involving banking mergers and acquisitions, and is experienced in representing the buyer in certain transactions and the seller in others. Furthermore, Jake represents institutions involving strategies for responding to hostile takeovers and managing circumstances involving dissident shareholders.

A former attorney with the FDIC in its Washington, D.C. headquarters and Atlanta regional office, Jake advises clients regarding regulatory issues and developments, including negotiations with federal and state regulatory agencies. He advises institutions regarding regulatory enforcement agreements, including cease and desist orders, formal agreements, supervisory agreements, civil money penalty actions and related matters. He has conducted administrative hearings on behalf of institutions, individuals and the FDIC. Jake follows closely regulatory trends and developments as they affect all insured institutions, including national, state member and state non-member banks, thrifts, and other financial entities.
