Jacqueline Grise is a Partner in Dewey & LeBoeuf's Antitrust practice. Ms. Grise's practice focuses on the defense of corporate clients in connection with domestic and international mergers and acquisitions, as well as antitrust counseling and other non-merger matters. She regularly represents clients before the FTC, the DOJ and numerous foreign antitrust enforcement agencies. Ms. Grise has extensive experience counseling clients through the HSR merger review process, including advocating before the agencies, responding to second requests and coordinating antitrust defense strategies in countries around the world. Her clients span a broad range of industries, including consumer and food products, healthcare/ pharmaceuticals, computer and data storage, music recording and publishing, book and magazine publishing, industrial equipment, automotive parts, retail including Internet sales and distribution, and aerospace and defense. Represented Anheuser-Busch in securing antitrust clearance from the DOJ and other antitrust authorities around the world in connection with InBev's $52 billion acquisition of the company. · Hewlett-Packard/EDS. Represented EDS in achieving antitrust clearance in the US and 16 other jurisdictions in connection with HP's $13.9 billion acquisition of EDS. · Novartis AG/Nestlé SA. Represented Nestle in obtaining US and global antitrust clearances in connection with the divestiture of a majority interest in Alcon to Novartis (owner of Ciba Vision) for approximately $40 billion in a 2-step process. · Galderma Laboratories/CollaGenex Pharmaceuticals. Represented Galderma, a specialty pharmaceutical company focused on dermatology, in securing expedited antitrust clearance before the FTC in connection with its $420 million cash tender offer acquisition of CollaGenex. · Vivendi SA/Bertelsmann AG. Represented Bertelsmann in its $2.1 billion divestiture of BMG Music Publishing to Vivendi, creating the world's largest music publishing company. After issuance of a second request, US antitrust clearance was obtained on an expedited basis in less than three months. · Whirlpool Corporation/Maytag Corporation. Represented Whirlpool in connection with its $1.7 billion acquisition of Maytag. After an extensive investigation, including a second request, numerous depositions, submission of extensive information demonstrating the large cost savings and other efficiencies created by the transaction, the DOJ closed its investigation without seeking remedies. · Quantum Corporation/Advanced Digital Information Corporation. Represented Quantum before the DOJ in its acquisition of Advanced Digital Information Corporation. · Verizon Communications/MCI Communications. Represented Verizon in obtaining DOJ clearance of its acquisition of MCI. · Bertelsmann AG/Sony Corporation. Represented Bertelsmann in an extensive FTC investigation of its joint venture with Sony that formed the recorded music label called SonyBMG. · Bertelsmann AG/Divestiture of BMG Music Publishing Group. Represented Bertelsmann AG in its $2.1 billion divestiture of BMG Music Publishing Group to Vivendi SA, creating the world's largest music publishing company. Represented BMG Music Club in its acquisition of Colombia House. · Dana Corporation/Mahle Group. Represented Dana Corporation in approximately 20 matters over the past 10 (plus) years including, among others, the CenterBridge transaction, the divestiture of the Engine Products Group to Mahle, defending against hostile takeover by ArvinMerritor, the divestiture of Engine Management Group to Standard Motor Products and the acquisition of the heavy axle business from Eaton. · H.J. Heinz Company/Group Danone. Represented H.J. Heinz Company in connection with its $800 million acquisition of HP Foods from Group Danone, including the Lea & Perrins brand of Worcestershire sauce. This was an important transaction for Heinz, as it represented a significant expansion in Europe and new growth opportunities in the US. · NeighborCare, Inc./OmniCare, Inc. Represented NeighborCare in the takeover by OmniCare. · Nestle SA/Novartis. Representing Nestle in connection with the divestiture of a minority position in Alcon to Novartis/Ciba for approximately $11 billion. · RehabCare Group/Symphony Health Services. Represented RehabCare in its acquisition of Symphony Health Services. Pro Bono · Whitman Walker Legal Services Division. Ms. Grise is a Member of Whitman Walker Legal Services Division's Operating Committee.
