Mr. Singh's recent work has focused on counseling clients in all aspects of corporate and commercial activity, including in the non-profit and trade association sectors; representing buyers and sellers in stock and asset purchase transactions; advising new companies on organizational documents, capital structure, shareholder and employment agreements, tax implications and financial goals; counseling international businesses on establishing a U.S. presence; assisting start-up clients with private offerings and capital formation; and acting as corporate counsel for several trade and professional association clients.
His significant recent matters include:
· the representation of a public company in its acquisition of several companies in the food distribution industry
· the representation of a public company in connection with a stock acquisition in the information technology sector
· the representation of a major national charitable giving organization in the sale of the assets of its subsidiary
· the representation of an industry leader in the preparation of its form master customer agreement as well as the drafting and negotiation of customer agreements with the client's largest commercial customers
· the representation of a provider of nationwide data broadcasting services in its servicing arrangements and related corporate transactions.
Mr. Singh has also recently counseled buyers and sellers in several stockholder buy-out transactions.
