About this office:

History and profile of the Firm

Jalsovszky Law Firm was founded in 2005 by Pál Jalsovszky and has grown rapidly since then to its current size of 10.

Currently, our professional team consists of 10 qualified lawyers, all of them having gained their experience by working for international law firms and/or major auditing firms. The managing partner of the firm, Pál Jalsovszky combines a diverse academic background with hands-on professional experience in the areas of finance, taxation and business law. He is widely recognised for his highly efficient work and for his outstanding problem-solving skills. In 2010, we entered into a co-operation agreement with an English law firm operated by Steven Conybeare. Steven is a highly experienced corporate transaction lawyer with over 18 years of professional experience gained in both London and Budapest.

Areas of practice

We are a leading independent commercial law firm with unrivalled expertise and experience in tax and mergers and acquisitions.

Tax

As the market leading independent tax advisory practice in Budapest, we regularly design novel structures optimising clients' tax liabilities, whilst meeting all legal and regulatory requirements. Our tax advisory service combines our legal experience and tax expertise which ensures that all clients receive properly documented tax efficient solutions.

In addition to our transactional practice, we provide regular and ongoing tax advice for clients operating in a range of sectors. Our tax advice covers the full range of taxes including corporate tax, value added tax and personal tax.

Whist an independent practice, we work together with a network of international tax advisers to deliver a seamless service across all relevant jurisdictions.

Our tax practice was ranked in the top tier by all reputable independent directories in 2012, including Legal 500, Chambers Europe, PLC Which Lawyer? and Tax Directors Handbook.

Mergers and acquisitions, general corporate law advice

Our M&A team regularly advises on transactions covering the sale and purchase of businesses as well as investment fundraising. We ensure that our legal solutions are structured to meet commercial as well as legal and tax requirements. We work in an efficient manner delivering results within the often short timescales demanded by such transactions.

We pride ourselves on bringing innovative legal solutions to the complex challenges often created by these transactions. We deliver commercially astute advice in a cost-effective manner and believe that the business expertise we bring to the table enhances the value of our services.

Our corporate team also provides full scale advice on all areas ancillary to M&A transactions, such as labour law, competition law and IP law either during a transaction or on a stand-alone basis.

In the 2012 edition of The Legal 500 publication, the Law Firm was recommended in the Merger and Acquisitions category.

Real estate

Our property lawyers understand the key issues facing clients active in the Hungarian property market. Using our local knowledge, we can identify the key risks and deploy structures to manage them, to ensure a successful transaction.

Our property law expertise covers all types of residential, commercial and industrial properties. Apart from the transaction documentation we also represent our clients in front of property related public administration bodies.

We are unique in having the resources and expertise to structure and document property transactions in a tax efficient manner thus avoiding unexpected tax consequences.

International projects

Our international practice focuses on working with clients active both in Hungary and the surrounding jurisdictions, across a range of industry sectors, but particularly in the Oil & Gas, Energy and Environmental sectors. We have developed a leading expertise in designing and implementing novel corporate structures in order to meet the needs of international businesses in a locally compliant manner.

Our legal experience and practical knowledge ensure that we identify key issues for clients at an early stage so that commercial requirements can still be achieved. We regularly work with professionals from a number of disciplines across the CEE and SEE regions executing cross-border transactions as well as providing advisory services for deployment of tax optimized structures and compliant implementation of the same.

We are capable of and are regularly required to provide complex professional services for our clients across a range of legal and tax disciplines. Regardless of the type of transaction, we are fairly unique in being able to undertake both a tax and a legal due diligence as well as advising on the tax structuring of the transaction. The combined experience of our lawyers gained in the areas of business, finance and tax ensures that all relevant considerations and intentions of a client can and will be fully taken into consideration in our legal advice. As a result, the client will always receive practical and timely advice which is fully in line with its stated business requirements.
