Biography

An accomplished transactional lawyer and member of the Energy & Natural Resources industry team, Jim leverages his experience in mergers and acquisitions, joint ventures, and complex commercial relationships for the benefit of his clients. His practice is national in scope, with clients that are leaders in their respective industries, as well as midsized and smaller companies.

Among his industry experience, Jim has:

•Represented Algonquin Power in the $888 million acquisition, joint venture and tax equity financing of wind power facilities in four states.

Advised NV Energy in the $136 million sale of electric distribution utility assets in California.

Advised Koch Pipeline in the sale of a lateral diesel pipeline in Texas.

In addition to acquisition and joint venture arrangements, Jim regularly assists energy companies and major commercial and industrial clients with sophisticated procurement contracts and capital projects. His deep experience with renewable energy encompasses power that is generated by wind, solar, biomass and landfill gas. He regularly works with suppliers and end-users on energy marketing, procurement and management.

Jim is a member of the Partner Board.

Energy Utilities

•Counsel for Canada-based Algonquin Power & Utilities Corp. in the closing of three separate transactions totaling $470 million. Algonquin purchased the following: the Sandy Ridge Wind farm in Pennsylvania from Spain's Gamesa Energy Corp; electric and gas utilities from National Grid in New Hampshire; and gas utility assets of Atmos Energy Corp. in Missouri, Illinois and Iowa.

•Represented Algonquin Power and Liberty Utilities Co. in $74 million acquisition of the Massachusetts gas distribution utility assets of New England Gas Co. from Southern Union Co.

•Advised NV Energy in $35 million sale of cellular communications towers and lease of underlying substation property in the Las Vegas metropolitan area.

•Represented NV Energy in the $136 million sale of California electric distribution utility assets.

•Counseled Aquila Inc. in the $292 million bifurcated sale of Kansas-regulated electric utility assets to Sunflower Electric Power Corp. and Westar Energy.

•Working with engineering company in connection with multiple public-private partnership opportunities in the water and wastewater utilities sector.

Power Generation

• Represented Algonquin Power in the $888 million acquisition, joint venture and tax equity financing of wind power facilities totaling 480 megawatts in Illinois, Iowa, Pennsylvania and Texas.

•Represented Algonquin Power in the $149 million acquisition from Chinese turbine manufacturer Goldwind of a 109-megawatt wind energy facility in Illinois and Texas.

•Counseled Georgia-Pacific LLC with respect to acquisition of a biomass co-generation plant certified as a qualifying facility as part of its acquisition of major wood pulp mills in Alabama.

•Advised Aquila in entry into a $1.5 billion transaction for the acquisition of an independent power producer that held interests in more than 20 independent power plants and had six merchant power plants under construction.

•Represented Aquila in sale of 50 percent interest in a 620-megawatt combined-cycle gas-fired merchant power plant and certain transmission-related assets to Calpine Corp.

•Counsel for Midwest Independent Transmission System Operator Inc. shortly after formation in its acquisition of the assets of a regional power pool and in initial $100 million senior notes offering.

•Represented Aquila in the $225 million acquisition of a subsidiary of FirstEnergy Corp. that held interests in independent power plants in six states.

Midstream Natural Gas

• Represented Koch Pipeline Co. in sale of a lateral diesel pipeline in Texas.

•Advised a midstream natural gas company in its bid to acquire interstate and intrastate natural gas pipelines in Kansas and Oklahoma.

•Represented Inergy L.P. in acquisition of a controlling interest in an 18-billion-cubic-feet depleted reservoir gas storage project in Texas.

•Co-counsel to Koch Hydrocarbon LP in connection with the $1.35 billion sale of midcontinent natural gas liquids (NGL) gathering, fractionation, storage and marketing business and related pipelines.

•Represented client in connection with proposed investment in a major asphalt terminal under development to serve refinery in the Chicago area.

•Represented developer with respect to project structuring, project financing, third-party investment and negotiation of commercial contracts for $30 million landfill gas project near Houston, Texas, with annual production of approximately 1 million British thermal units.

•Advised Kansas Energy Partners LLC in connection with disposition of a controlling interest in its natural gas marketing business to Itochu Corp.

•Represented Aquila in disposition of various energy-related derivatives and in the proposed disposition of multiple long-term natural gas supply agreements and related derivatives.

•Represented Aquila in the formation of a joint venture with ArcLight Capital Partners for the $220 million acquisition of the Lodi underground gas storage facility in California, including advance payment of $110 million in the form of a secured construction loan from the joint venture to the seller.

Wholesale and Competitive Retail Energy

•Represented multiple electric utilities and project developers in connection with the negotiation of power purchase agreements (PPAs) for renewable energy facilities and both sellers and buyers in connection with negotiation of full-requirements PPAs between generating utilities and distribution utilities.

•Negotiated energy hedge agreements for multiple wind energy facilities, including price swaps and features to account for variability in wind energy production, with recourse limited to the projects.

•Negotiated retail natural gas contracts in Ontario, Canada, and multiple U.S. states on behalf of a major industrial energy consumer.

•Assisted client in establishing an online, third-party reverse auction platform for the procurement of energy products, including natural gas purchases by local distribution companies and diesel and gasoline fuel purchases by railroads, fleet operators, and other major purchasers.

•Negotiated novation agreements and modified credit support arrangements to permit the retention of client's energy trading operations upon the sale of its subsidiary that was the original contracting and transacting entity.

•Negotiated multiple retail electric power and natural gas contracts in Illinois, Texas and Pennsylvania for a national for-profit college group.
