Jay Nixon is a partner at Waller Lansden and practices in the areas of mergers and acquisitions, securities, general corporate, healthcare and venture capital financing. Mr. Nixon represents clients - both public and private - in a wide variety of capital raising and merger and acquisition activities, including public and private securities offerings (equity and debt), venture capital financings, acquisitions, dispositions and joint venture transactions. Mr. Nixon also counsels clients, including boards of directors and board committees, on other corporate and securities issues, including corporate governance, public company disclosure and periodic reporting requirements, Section 16 compliance, insider trading and strategic analysis.
Mr. Nixon's representative experience includes:
· Representing a leading publicly traded behavioral healthcare services provider in its review of strategic alternatives and eventual $3.1 billion sale to a strategic buyer. Mr. Nixon previously represented the company in debt and equity securities offerings and corporate governance matters.
· Representing a leading publicly traded alternative energy company in multiple securities, capital raising and strategic transactions, including registered offerings of equity securities as well as general corporate matters.
· Representing a publicly traded real estate investment trust (REIT) in corporate and securities matters, including recent public equity and debt offerings and the establishment of equity sale programs.
· Representing a publicly traded operator of ambulatory surgery centers in its $600 million acquisition by private equity funds. Mr. Nixon also represented the company in refinancing the debt incurred in the private equity transaction. He previously represented the company in its initial public offering and in various acquisition and development transactions.
· Representing a residential services provider from its formation through an initial public offering and its eventual sale to a strategic buyer.
· Advising publicly traded companies on compliance with securities laws including the Sarbanes-Oxley Act, reporting obligations of publicly traded companies, responsibilities of the boards of directors and board committees, and other issues relevant to reporting companies.
· Representing healthcare companies and investors in the acquisition, development and syndication of multiple healthcare facilities including hospitals, surgery centers, senior living facilities, diagnostic imaging facilities and cancer treatment centers.
· Representing a national owner / operator of senior living facilities in the acquisition of a flagship facility in the Northeast.
· Representing a large owner and operator of rural healthcare facilities in the joint venture of several of its facilities.
· Representing a healthcare information technology company in multiple rounds of equity financing and advising the company on the sale of one of its lines of business.
