Jan Guben has more than 40 years experience representing businesses and the people who own and operate them. He has counseled both privately owned and publicly traded companies, addressing practically every legal aspect of business-- including many complex matters. The bulk of Mr. Guben's work however is with privately held businesses in the areas of real estate, taxation and business transactions, as well as wealth planning for individuals. In addition, his significant experience in real estate law adds strength to his general business capabilities. Mr. Guben served as the chair of Venable's Business Division from 1995 through 2001, managing more than 150 attorneys. Significant Matters Mr. Guben was one of the lead Venable lawyers who represented a client in the acquisition of 35 hotels around the world and the simultaneous sale of 18 of those hotels. He represented a developer in the sale of a large office building and the acquisition of six replacement properties in several states under Section 1031 of the federal tax code. Mr. Guben, along with other Venable lawyers, advised a family on minimizing the tax consequences of their sale of a Picasso painting in an auction by Sotheby's in 2006 -- at the time, the second-largest price paid for a piece of art at auction. As general counsel to a New Jersey based pharmaceutical company, he represented the company and its principals in the acquisition of the controlling interest in another pharmaceutical/ biotech company also based in New Jersey. Activities Mr. Guben gives time and effort to a variety of organizations, including serving as a board member and as president of Meals on Wheels of Central Maryland. He serves as a member of the board of The Baltimore Symphony Orchestra. He is an elected-member of The American College of Real Estate Lawyers. He is a founding member of The Johns Hopkins University Real Estate Board. Mr. Guben has been named one of Washington DC's "Best Lawyers" by Washingtonian magazine. Events/Speaking Engagements For many years, Mr. Guben has been a faculty member, lecturer and author addressing a variety of topics in his areas of concentration for the Maryland Institute for the Continued Professional Education of Lawyers. He has also served as a panelist, speaker and author for programs held by The American College of Real Estate Lawyers.
