Biography

For over 25 years, Jeff has focused his practice on the development and financing of domestic and international energy and infrastructure projects. Jeff also has a wide range of experience in cross-border business transactions, private equity, venture capital, joint ventures, strategic alliances, and business divorces. His practice focuses on the energy, telecommunications, mining, and manufacturing industries.

Jeff's experience in international project development and finance includes the representation of developers, sponsors, financial institutions, borrowers, equity participants and governments in waste-to-energy, hydroelectric, wind, solar, biomass, geothermal, as well as fossil fuel projects in Australia, Brazil, Cambodia, the Caribbean, Colombia, Democratic Republic of the Congo, Guyana, India, Kazakhstan, New Zealand, Mexico, Nigeria, Pakistan, the Philippines, Seychelles, South Africa, Spain, the United States, and Vietnam.

Jeff has drafted and negotiated all key contractual arrangements in such projects including construction, operation and maintenance, power purchase, fuel supply, shareholder, joint venture, government implementation, and guarantee agreements, as well as debt and equity arrangements in connection with such projects.

Jeff has significant experience in privatizations and re-structuring of state-owned assets (primarily telecommunications, electricity, oil, and gas), representing the Governments of India, Guyana, Nigeria and Kazakhstan in such initiatives.

Jeff also represents several Australian investment banks with respect to in-bound business transactions in the United States. He has represented Australian and Southeast Asian businesses in the United States for more than 25 years.

Jeff's telecommunications practice centers around representing foreign-owned telephone and telecommunications companies in cross-border commercial transactions and disputes. In connection therewith, he has represented Telstra Corporation Limited (Australia), the Ministry of Posts and Telecommunications of the Kingdom of Cambodia and several Vietnamese state-owned enterprises in certain of their activities in the United States. Additionally, Jeff has represented clients in transactions involving global fixed satellite services, mobile satellite services, digital audio radio services, AM and FM radio and television stations, newspapers, and cable television operations.

Jeff's extensive business law and transactional experience includes corporate finance, angel and venture capital round financings, entity formation and maintenance, corporate reorganizations, corporate governance, and the drafting and negotiation of a variety of commercial agreements, including equipment purchases and leases, licenses, oil and natural gas purchases and sales, and shareholder and limited liability company operating agreements.
