Jeff is a partner in the Corporate Practice Group. He specializes in business transactions, including mergers, acquisitions and divestitures of businesses, joint ventures, outsourcing arrangements and bank, venture capital and other corporate financings. He has extensive experience in advising boards of directors and senior management of public and private companies on corporate governance matters and business and legal strategy. He also has extensive experience in drafting and negotiating complex contractual arrangements, including manufacturing, services, outsourcing and procurement contracts.
Representative Experience
Served as outside general counsel to a $500 million public company engaged in manufacturing and content management businesses, including serving as counsel to the board of directors, handling merger and acquisition and other business transactions and providing corporate governance and compliance, finance, intellectual property and general business advice.
Represented a medical claims processing company and its board of directors in a $50 million sale of the company.
Represented a manufacturing and services public company and its board of directors in a $450 million sale and merger of the company.
Represented a private investor in a $1 million investment in a medical device company.
Represented a group of affiliated companies engaged in heavy equipment sales and leasing in several states in a comprehensive corporate reorganization, a refinancing of all of their financing arrangements and a major restructuring of their relationship with their national franchisor.
Represented the borrower in a $200 million, secured syndicated credit facility from a group of seven financial institutions.
Represented clients in the negotiation and documentation of contractual outsourcing arrangements to offshore providers located in India, Singapore, China, the Dominican Republic, Honduras and Costa Rica.
