Jenny E. Cieplak is an associate in the Corporate Group at Crowell & Moring's Washington office. Her practice primarily involves domestic and international mergers and acquisitions, venture capital investments, joint ventures and corporate finance. Jenny is also experienced in drafting a wide range of commercial agreements, including intellectual property licenses and commercial distribution agreements. She works with clients in a variety of industries, including financial services, technology and government contracting. Jenny also advises clients on corporate governance and securities law matters.
Representative matters that Jenny has handled or assisted with include:
· Representation of financial services companies in connection with various minority investments and consortia, including investments in financial technology providers and trading platforms.
· Representation as outside general counsel of a consortium of Wall Street banks which operates a commodities trading platform.
· Representation of a technology vendor in connection with a turnkey services agreement for placement of digital signage in retail locations.
· Representation of a technology company in its sale of a division.
· Representation of a government contractor in its negotiation of a secured line of credit facility.
· Representation of a technology company in its acquisition of a VOIP provider.
· Representation of a technology company in connection with the outsourcing of its product testing operations.
· Representation of a financial services company in the preparation of a private placement memorandum relating to the sale of a subsidiary.
· Representation of a company in connection with a joint venture and distribution arrangement with a Mexican company.
Prior to joining Crowell & Moring, Jenny practiced structured finance, representing issuers and underwriters in public and private securitization transactions.
Jenny received a Bachelors of Music, with high honors, in violin performance from The Catholic University of America and a J.D., with honors, from the Georgetown University Law Center. During law school, she served as a member of the Georgetown Journal of Legal Ethics.
Jenny is a member of the bars of the District of Columbia and Maryland.
