JennyBess (JB) Dulac is an associate with Foley & Lardner LLP. She is a member of the firm's Private Equity & Venture Capital and Transactional & Securities Practices as well as the Technology Industry Team.
Ms. Dulac represents public and private companies in connection with a variety of strategic transactions including mergers, acquisitions, dispositions, and joint ventures. She also counsels issuers and underwriters in connection with public securities offerings, in particular including follow-on offerings and related FINRA compliance. Ms. Dulac regularly works with publicly held companies and affiliates on SEC compliance, proxy solicitations, and corporate governance.
Ms. Dulac also advises start-up companies, in both for-profit and not-for-profit sectors, through formation and growth strategies, including matters related to securities, employment and intellectual property. She represents both companies and institutional investors in financing transactions ranging from angel rounds to later stage venture capital and private equity investments.
Ms. Dulac serves as an editor ofThe Emerging Company Exchange, a blog dedicated to providing entrepreneurs and emerging companies with a forum for the exchange of perspectives on developments affecting such companies and those with a vested interest in their success.
Ms. Dulac received her J.D. from Boston University School of Law, where she competed on behalf of BU Law as a regional delegate in the ACS Constance Baker Motley National Moot Court Competition, the ABA Negotiation Competition, and the ABA Client Counseling Competition. She subsequently served as a director for BU Law's Competitions Program. Ms. Dulac also served as a judicial intern for the Honorable Joseph L. Tauro of the U.S. District Court for the District of Massachusetts. She received her B.A. from Middlebury College and was awarded high honors for her undergraduate thesis.
Ms. Dulac currently serves as a member of the Development Committee of Neighborhood House Charter School, a progressive and successful model for urban charter schools located in Dorchester, MA. Ms. Dulac is also an academic mentor for The Steppingstone Foundation, a non-profit organization dedicated to preparing urban schoolchildren for success as they enter selective independent and public exam schools. In addition, she serves as the president of the Boston chapter of the Middlebury College Alumni Association.
Ms. Dulac is admitted to practice in Massachusetts.
