Joanne Feil is a Member of the Firm's Real Estate Department. Her focus has been on commercial leasing, representing both landlord and tenants for all property types. Her practice includes regular representation of not only major owners and operators of tower office buildings throughout the country, but also of major national and international corporations and retail tenants in connection with the leasing by them of national and regional headquarters and retail space.
The space leases are primarily located in major office buildings and luxury residential condominiums and cooperatives throughout Manhattan; while the ground leases, as well as certain additional space leases, are located in properties throughout the outer Boroughs of New York City.
Ms. Feil represents a major financial services company in connection with the company's major expansion of its retail branch banking operations throughout the New York metropolitan area. This representation has included the negotiation of both ground and space leases and the acquisition from another financial services company of its entire branch banking business consisting of approximately 350 owned and leased retail locations located in New York, New Jersey and Connecticut.
As a result of Ms. Feil's extensive experience in the field of leasing, she has brought to the negotiations a keen sense of the business needs of her client, as well as a deep understanding of the legal issues and the realistic needs of both landlords and tenants.
Ms. Feil has acted as primary outside leasing counsel in connection with a vast national real estate portfolio of foreclosed commercial properties comprising over 150 buildings, which representation included the preparation of leasing templates for all property types which are used throughout the United States and the supervision of the negotiation of more than 1500 leases.
Ms. Feil represented an independently owned shopping center company with 19 malls comprising 18.5 million square feet of rentable space in all aspects of its business, including leasing of in-line, big box and department store tenants, reciprocal easement agreements, overseeing litigation, partnership and corporate matters, right to build and construction issues.
Ms. Feil also has experience in real estate finance, including the representation of numerous financial institutions, insurance companies, investment banks and REITs in connection with both lending and borrowing, including the establishment and administration of commercial mortgage loan conduit programs involving over $1.5 billion; structured real estate financing and securitization; acquisitions and sales of loan pools; mezzanine financing; construction lending; and commercial loan work-outs and restructurings.
In addition, Ms. Feil has been involved in acquisitions and sales of all property types (including air rights), leveraged leasing and other off-balance sheet financing. She was also lead counsel in the structuring and implementation of the first privatization in the United States of a commercial airport.
