Representative Experience

Represented an international airport facility developer in connection with the development, construction, leasing and financing of two multi-tenant air cargo facilities at John F. Kennedy International Airport, which facilities were financed with $160 million in bonds issued by the New York Industrial Development Agency.

Represented a publicly traded real estate investment trust in all legal aspects related to its development and management of several medical office buildings in the Atlanta area, including the drafting and negotiation of lease agreements with hospital tenants and physicians.

Represented a publicly traded real estate investment trust in connection with the acquisition of a $28 million office building complex in Henrico County, Virginia and the acquisition of a $26,300,000 multi-tenant office building located in a Chicago-area suburb.

Represented a non-profit corporation in connection with the rehabilitation of a senior citizen living facility in Atlanta, Georgia, including negotiating documents for $8 million in construction financing and securing the approval of the Department of Housing and Urban Development for the financing and the transfer of physical assets to a limited partnership with tax credit investors.

Represented a medical practice with multiple offices in Georgia in connection with its real estate matters, including the acquisition and development of two stand-alone facilities, the negotiation of leases in medical office buildings and the preparation of subleases and office-sharing agreements for existing locations.

Represented a publicly traded real estate investment trust in connection with securing $8 million in mezzanine financing related to the $40 million acquisition of three office building sites in Florida, including the negotiation of a comprehensive intercreditor agreement with the life insurance company first mortgagee.

Represented a commercial developer in all legal aspects related to the acquisition, development and financing of a three-level parking facility at the Virginia Beach oceanfront, including structuring the acquisition of air rights to minimize the seller's taxable income and drafting and negotiating a twenty-year, $18 million dollar lease for the facility from the developer to the City of Virginia Beach.

Represented a publicly traded real estate investment trust in the preparation and negotiation of a ground lease and option to purchase in connection with the development of a $10 million office building.

Represented a joint venture between a hospital and real estate investment trust in connection with the development and leasing of a 365,00 square foot medical office building in Atlanta, Georgia constructed within the air rights located above the existing hospital facility.

Represented a subsidiary of a major regional health care corporation in the negotiation of lease agreements, both as landlord for space in medical office buildings in the vicinity of its hospital facilities and as tenant for its medical clinic locations.

Represented a multi-state grocery chain in all legal aspects of acquiring and developing three grocery store-anchored shopping center sites, including the preparation and negotiation of the related acquisition and leasing documents.

Represented a commercial developer in all legal aspects related to the development and financing of an office building for lease to a governmental entity, including closing the permanent financing arrangement with a life insurance company lender.

Represented a national bank in connection with a $30 million revolving credit facility secured by, among other things, the borrower's partnership interests in several multi-family housing projects and further secured by an agreement by the non-borrower partner pension fund.
